TRADUCTIONS EN CONTEXTE

Whereas mergers, divisions, transfers of assets and exchanges of shares concerning companies of different Member States may be necessary in order to create within the Community conditions analogous to those of an internal market and in order thus to ensure the establishment and effective functioning of the common market; whereas such operations ought not to be hampered by restrictions, disadvantages or distortions arising in particular from the tax provisions of the Member States; whereas to that end it is necessary to introduce with respect to such operations tax rules which are neutral from the point of view of competition, in order to allow enterprises to adapt to the requirements of the common market, to increase their productivity and to improve their competitive strength at the international level;
considérant que les fusions, scissions, apports d'actifs et échanges d'actions intéressant des sociétés d'États membres différents peuvent être nécessaires pour créer dans la Communauté des conditions analogues à celles d'un marché intérieur et pour assurer ainsi l'établissement et le bon fonctionnement du marché commun; que ces opérations ne doivent pas être entravées par des restrictions, des désavantages ou des distorsions particuliers découlant des dispositions fiscales des États membres; qu'il importe, par conséquent, d'instaurer pour ces opérations des règles fiscales neutres au regard de la concurrence afin de permettre aux entreprises de s'adapter aux exigences du marché commun, d'accroître leur productivité et de renforcer leur position concurrentielle sur le plan international;

Whereas the common tax system ought to avoid the imposition of tax in connection with mergers, divisions, transfers of assets or exchanges of shares, while at the same time safeguarding the financial interests of the State of the transferring or acquired company;
considérant que le régime fiscal commun doit éviter une imposition à l'occasion d'une fusion, d'une scission, d'un apport d'actifs ou d'un échange d'actions, tout en sauvegardant les intérêts financiers de l'État de la société apporteuse ou acquise;

Whereas it is necessary to allow Member States the possibility of refusing to apply this Directive where the merger, division, transfer of assets or exchange of shares operation has as its objective tax evasion or avoidance or results in a company, whether or not it participates in the operation, no longer fulfilling the conditions required for the representation of employees in company organs,
considérant qu'il convient de prévoir la faculté pour les États membres de refuser le bénéfice de l'application de la présente directive lorsque l'opération de fusion, de scission, d'apport d'actifs ou d'échange d'actions a pour objectif la fraude ou l'évasion fiscales ou a pour effet qu'une société, que celle-ci participe ou non à l'opération, ne remplit plus les conditions requises pour la représentation des travailleurs dans les organes de la société,

Whereas in respect of mergers, divisions or transfers of assets, such operations normally result either in the transformation of the transferring company into a permanent establishment of the company receiving the assets or in the assets becoming connected with a permanent establishment of the latter company;
considérant que, en ce qui concerne les fusions, les scissions et les apports d'actifs, ces opérations ont normalement pour résultat soit la transformation de la société apporteuse en établissement stable de la société bénéficiaire de l'apport, soit le rattachement des actifs à un établissement stable de cette dernière société;

Whereas, in particular, the use of Articles 100 and 235 of the Treaty as legal bases for this Decision is justified to the extent that the Agreement establishing the World Trade Organization, including the Annexes thereto, affects Council Directive 90/434/EEC of 23 July 1990 on the common system of taxation applicable to mergers, divisions, transfers of assets and exchanges of shares concerning companies of different Member States (1), Council Directive 90/435/EEC of 23 July 1990 on the common system of taxation applicable in the case of parent companies and subsidiaries of different Member States (2), which are based on Article 100 of the Treaty, and Council Regulation (EC) No 40/94 of 20 December 1993 on the Community trade mark (3), which is based on Article 235 of the Treaty;
considérant, en particulier, que le recours aux articles 100 et 235 du traité comme base juridique de la présente décision est justifié dans la mesure où l'accord instituant l'Organisation mondiale du commerce, y compris ses annexes, affecte, d'une part, la directive no 90/434/CEE du Conseil, du 23 juillet 1990, concernant le régime fiscal commun applicable aux fusions, scissions, apports d'actifs et échanges d'actions intéressant des sociétés d'États membres différents (1) et la directive no 90/435/CEE du Conseil, du 23 juillet 1990, concernant le régime fiscal commun applicable aux sociétés mères et filiales d'États membres différents (2) qui sont fondées sur l'article 100 du traité et, d'autre part, le règlement (CE) no 40/94 du Conseil, du 20 décembre 1993, sur la marque communautaire (3), qui est fondé sur l'article 235 du traité;
