Elle a conclu à ce que le Tribunal constate que la Commission est tenue d’adopter à l’égard des États membres une réglementation autorisant et rendant possible le transfert transfrontalier du siège statutaire des sociétés de capitaux et de personnes sans que les ordres juridiques des États membres puissent rendre plus difficile ou impossible un tel transfert et, en particulier, de convertir en directive la « proposition d’une quatorzième directive du Parlement européen et du Conseil sur le transfert transfrontalier du siège statutaire des sociétés, avec changement du droit qui leur est applicable ».

3. Whenever it appears to the Commission, either on the basis of the reports referred to in paragraph 2 or on the basis of other information, that a third country does not grant undertakings having their seat or their principal fields of activity in the Community, treatment comparable to that granted by the Community to undertakings from that country, the Commission may submit proposals to the Council for an appropriate mandate for negotiation with a view to obtaining comparable treatment for undertakings having their seat or their principal fields of activity in the Community.
3. Lorsque la Commission constate, soit sur la base des rapports mentionnés au paragraphe 2, soit sur la base d'autres informations, qu'un pays tiers n'accorde pas aux entreprises, ayant leur siège ou leurs principaux domaines d'activité dans la Communauté, un traitement comparable à celui qu'offre la Communauté aux entreprises de ce pays tiers, elle peut soumettre des propositions au Conseil en vue d'obtenir un mandat de négociation approprié pour obtenir des possibilités de traitement comparables pour les entreprises ayant leur siège ou leurs principaux domaines d'activité dans la Communauté.
