5. Considers that, as regards institutional PPPs, in view of the current lack of legal certainty, particularly having regard to the case-law of the Court of Justice of the European Communities concerning 'semi-public undertakings' (judgment of 11 January 2005 in case C-26/03, Stadt Halle and RPL Lochau), they should be placed on a more secure legal footing, on the basis of an assessment of the experience of certain Member States in that area, by a specific legal instrument to clarify the rules applicable and the link between Community rules and principles with regard to company law, competition law and the law on public contracts and concessions and that this instrument should comply with the criteria laid down in the judgment of 18 November 1999 in case C-107/98, Teckal, the principle of the administrative freedom of local authorities and the exclusive competences of the Member States, particularly with regard to property arrangements; further considers that the instrument should also establish a distinction between the rules applying to the activities of semi-public undertakings which are in the general public interest and the rules applying to activities pursued in their private interest;
5. estime, s'agissant du partenariat privé-public institutionnel, que, compte tenu de l'insécurité juridique actuelle, eu égard en particulier à la jurisprudence de la Cour de Justice des Communautés européennes sur les entreprises mixtes (arrêt du 11 janvier 2005 dans l'affaire C-26/03, Stadt Halle et RPL Lochau), il apparaît nécessaire, sur la base d'une évaluation des expériences de certains États membres en la matière, de les sécuriser juridiquement par un instrument juridique spécifique permettant de clarifier les réglementations applicables et le lien entre les normes et les principes communautaires en matière de droit des sociétés, de droit de la concurrence et de droit relatif aux adjudications et concessions. Cet instrument devrait respecter les critères définis dans l'arrêt du 18 novembre 1999 dans l'affaire C-107/98, Teckal, le principe de libre administration des collectivités locales et la compétence exclusives des États membres, notamment en matière de régime de propriété; estime en outre que cet instrument devrait également faire une distinction entre le régime juridique applicable aux activités des entreprises mixtes qui relèvent de l'intérêt général et celui applicable à celles qui relèvent de l'intérêt privé;

Stadt Halle (the City of Halle) asked RPL Lochau, a company in which the majority of the capital is held indirectly by Stadt Halle and the remainder by a private company, to draw up a plan for the construction of a thermal waste disposal and recovery plant for its residual urban waste, without formally issuing a call for tenders.
