By adopting this behaviour, Greece showed that it did not intend to obtain from the employees the payment of the purchase price. This means that, when participating in the management of the yard, they attached less importance to the preservation and the increase of the value of the shares and the restoration of financial viability (and more to the preservation of the employment and of the working conditions).

As regards the second ground raised by Greece — the payment of the purchase price was not a condition laid down in decision C 10/94, and even if it was the case, the Commission considered it as already fulfilled after having examined the September 1995 contract — the Commission has earlier recalled that the sale of the yard was a condition laid down in the Directive 90/684/EEC and explained what was the reason for this condition.

The Commission therefore considers that the fact that the State did not seek to obtain the payment of the purchase price from the employees under the terms of the September 1995 contract dramatically changed the situation of employees when they were participating in the management of the yard.

The financial transactions concerned are: - Bremer Vulkan's purchase in April 1987 of 600,750 shares in Seebeckwerft AG from the publicly owned Hanseatische Industrie - Beteiligungen GmbH (HIBEG); - HIBEG's intervention in the contribution of new capital to Bremer Vulkan in June-September 1987, partly by providing a guarantee for the minimum purchase price of the new share issue, partly by finally taking over 96% of these shares; - HIBEG's purchase in 1988 of financial assets from Bremer Vulkan and Seebeckwerft, mainly consisting of shares in different ships previously constructed by these yards; - State guarantees of up to DM 165.1m (80mecu) provided by the Land of Bremen for the restructuring of the Bremer Werftenverbund in addition to aid granted according to the approved terms of the Guidelines for Restructuring Aid for yards in the coastal Läender.

This decision was taken in consideration of several factors, such as the commitment given by the British Government that this is a one-off request, the limited effects that it produces on the Community's capacity production, that it is not a case of physical reopening but rather of conversion from military activity to merchant shipbuilding, that the aid does not give any competitive advantage to the yard in bidding for a given contract and that it increases the changes of the present receivers to find a valid purchaser for the yard.
La présente décision a été prise eu égard à un certain nombre de facteurs, tels que l'engagement du gouvernement britannique de ne pas réitérer cette demande, les effets limités produits sur la capacité de production communautaire, le fait qu'il ne s'agit pas d'une réouverture mais d'une reconversion d'un arsenal en un chantier civil, le fait que l'aide ne confère pas un quelconque avantage concurrentiel au chantier pour l'obtention d'un contrat donné, et enfin le fait qu'elle accroît les chances des liquidateurs actuels de trouver un acheteur valable pour le chantier.
