Beyond this basic formal requirement, the appointment of a proxy holder, the notification of the appointment to the company and the issuance of voting instructions, if any, to the proxy holder may be made subject only to such formal requirements as are necessary to ensure the identification of the shareholder and of the proxy holder, or to ensure the possibility of verifying the content of voting instructions, respectively, and only to the extent that they are proportionate to achieving those objectives.

The proxy holder should therefore be bound to observe any instructions he may have received from the shareholder and Member States should be able to introduce appropriate measures ensuring that the proxy holder does not pursue any interest other than that of the shareholder, irrespective of the reason that has given rise to the conflict of interests.

In the circumstances referred to in point (h) of Article 10 of Directive 2004/109/EC, if a shareholder gives the proxy in relation to one shareholder meeting, notification may be made by means of a single notification at the moment of giving the proxy provided that it is made clear in the notification what the resulting situation in terms of voting rights will be when the proxy may no longer exercise the voting rights at its discretion.

However, restrictions currently exist in some Member States concerning the person who can hold a proxy (limitation to family members, other shareholders etc), the number of proxies a proxy holder may hold, the form in which a proxy can be granted (notarisation etc.) or the rights that proxy holders have in general meetings.

The current rules for the solicitation of a proxy — that is, the solicitation to act on another shareholder's behalf at a meeting of shareholders — substantially and significantly hinder shareholder communications with each other by requiring that a proxy circular be sent at the personal expense of the shareholder, not at the expense of the company, to all shareholders.
