The Commission accepts the third element put forward by the Czech authorities, namely that a market economy investor would have interpreted the prior double rejection by the CSC as confirming its expectation that INH and LNM (the majority shareholder of INH, which is the driving force behind this operation since it will buy from INH the shares that the company has bought back) were trying to undervalue the company in order to pay the lowest possible price for the shares they wished to buy back.
La Commission admet le troisième élément avancé par les autorités tchèques, à savoir qu’un investisseur en économie de marché aurait interprété le double refus antérieur de la KCP comme une confirmation de la supposition selon laquelle INH et LNM (actionnaire majoritaire d’INH, qui est l’élément moteur de cette opération, parce qu’il acquerra auprès d’INH les actions que la société a rachetées) ont tenté de sous-évaluer la société INH dans l’espoir de pouvoir racheter les actions souhaitées au prix le plus bas possible.
