It proposes to add a positive list containing all the entities and legal arrangements regarded as ‘paying agents upon receipt of an interest payment’ as Annex III. However, the division of responsibility among paying agents remains unclear in situations where several paying agents operate as intermediate structures before the yield from the savings reaches the beneficial owner.
Une liste "positive", incluant toutes les entités et constructions juridiques à considérer comme "agents payeurs à la réception" dans chaque État membre, est ainsi introduite en tant qu'annexe III. The Commission proposes in Article 4 of the Directive to clarify the term ‘paying agent’, and under its amendment any intermediate structure would be required to operate as a ‘paying agent upon receipt of an interest payment’.

2. Member States shall take the necessary measures to ensure that the tasks necessary for the implementation of this Directive are carried out by economic operators and paying agents established within their territory, irrespective of the place of establishment of the debtor of the debt claim, or the issuer of the security, producing the interest payment.

Les États membres prennent les mesures nécessaires afin de s'assurer de l'exécution des tâches requises pour la mise en œuvre de la présente directive par les opérateurs économiques et les agents payeurs établis sur leur territoire, indépendamment du lieu d'établissement du débiteur de la créance, ou de l'émetteur du titre, donnant lieu au paiement d'intérêts.

Precisely because of the risk that the proposal could incite paying agent operations to relocate outside the EU, the European Council decided last year that the adoption of the Directive would be preceded by discussions with the United States and key third countries (Switzerland, Andorra, Monaco, Liechtenstein and San Marino) and with the dependent and associated territories of the United Kingdom and the Netherlands. The aim is to encourage these countries and territories to adopt similar measures.

4a. During the transitional period, the Member States levying a withholding tax may stipulate that an economic operator who pays interest to, or secures the payment of interest for, an entity referred to in Article 4(2) established in another Member State, shall be considered to be the paying agent and shall levy the withholding tax on this interest, unless the entity has formally agreed that its name and address, and the total amount of interest paid to it or secured for it, may be reported pursuant to the last subparagraph of Article 4(2).
4 bis. 6. In order to resolve this problem within the framework of this Directive, it is proposed that a grandfather clause apply to all negotiable loan securities, whether the interest is paid by the issuer's paying agent or by the beneficial owner's agent and whether that paying agent is situated in a Member State which uses exchange of information or one which operates a withholding tax.

36. As defined in the proposal for a Directive presented by the Commission on 4 June 1998, the paying agent means "any economic operator who is responsible for the payment of interest for the immediate benefit of the beneficial owner, whether he be the debtor of the capital which produces the interest itself or the operator charged with the payment of interest by the debtor or by the beneficial owner, in cases where the economic operator is established within the Community outside the Member State in which the beneficial owner is resident for tax purposes".
36. the treatment of uncoordinated CIU referred to in paragraph 8 of the part on the taxation of savings of the aforementioned document and paragraphs 44, 45 and 46 of the annex thereto shall include an option allowing such CIU to be treated as coordinated CIU; payments made within the European Union by funds located outside it will be subject to the rules laid down in, inter alia, paragraph 17 or 27 of the annex, depending on whether the paying agent is located in a country that operates the exchange of information or one that applies a withholding tax;
