Specifically, EMIR aims to reduce risks to the financial system arising from derivatives transactions by increasing the transparency of the over-the-counter (OTC) derivatives market – a market in which derivative contracts are not traded on an exchange, but privately negotiated between two counterparties.

(3) For the internal market to function properly, FTT should apply to trade in a wide range of financial instruments, including structured products, both in the organised markets and "over-the-counter", as well as to the conclusion and modification of all derivative contracts.
(3) Pour le bon fonctionnement du marché intérieur, il convient que la TTF s'applique aux échanges d'une large gamme d'instruments financiers, dont les produits structurés, négociés tant sur les marchés organisés que de gré à gré, ainsi qu'à la conclusion et à la modification de tout contrat dérivé.
