1. Without prejudice to situations where its disclosure is required by Union law or national law, competent authorities shall require members of their staff to undertake not to disclose to third parties information acquired when undertaking their duties, in the context of official controls and other official activities, which is, by its nature, covered by professional confidentiality, unless there is an overriding public interest in its disclosure.

Where some or all of the commercial documents required to be scrutinised pursuant to this Chapter are located with an undertaking in the same commercial group, partnership or association of undertakings managed on a unified basis as the undertaking scrutinised, whether located inside or outside the territory of the Union, the undertaking shall make those commercial documents available to officials responsible for the scrutiny, at a place and time to be determined by the Member States responsible for carrying out the scrutiny.

The undertaking shall be made in the official language or one of the official languages of the Member State where secondary insolvency proceedings could have been opened, or, where there are several official languages in that Member State, the official language or one of the official languages of the place in which secondary insolvency proceedings could have been opened.

The need to ensure stable employment conditions and equal treatment of staff, taking into account the experience gained from the JET Joint Undertaking, in order to attract specialised scientific and technical staff of the highest calibre, requires the application of the Staff Regulations of Officials of the European Communities and the Conditions of Employment of Other Servants of the European Communities, laid down by Regulation (EEC, Euratom, ECSC) No 259/68 (the Staff Regulations) to all the staff recruited by the Joint Undertaking.

For the purposes of this Article credit institutions shall comprise all undertakings on the list published in the Official Journal of the European Communities pursuant to Article 3 (7) of Directive 77/780/EEC, as well as central banks and official domestic and international banking organizations and all private and public undertakings which are not established in the Community but which satisfy the definition in Article 1 of Directive 77/780/EEC.

Whereas the coordination of the laws of the Member States should be confined initially to collective investment undertakings other than of the closed-ended type which promote the sale of their units to the public in the Community and the sole object of which is investment in transferable securities (which are essentially transferable securities officially listed on stock exchanges or similar regulated markets); whereas regulation of the collective investment undertakings not covered by the Directive poses a variety of problems which must be dealt with by means of other provisions, and such undertakings will accordingly be the subject of coordination at a later stage ; whereas pending such coordination any Member State may, inter alia, prescribe those categories of undertakings for collective investment in transferable securities (UCITS) excluded from this Directive's scope on account of their investment and borrowing policies and lay down those specific rules to which such UCITS are subject in carrying on their business within its territory;
considérant que, dans un premier stade, il convient de limiter la coordination des législations des États membres aux organismes de placement collectif de type autre que « fermé » qui offrent leurs parts en vente au public dans la Communauté et qui ont pour unique objet d'investir en valeurs mobilières (celles-ci étant essentiellement les valeurs mobilières officiellement cotées en bourse ou sur des marchés réglementés de même nature) ; que la réglementation des organismes de placement collectif auxquels la directive ne s'applique pas pose divers problèmes qu'il convient de régler par d'autres dispositions et que, par conséquent, ces organismes feront l'objet d'une coordination ultérieure ; que, en attendant cette coordination, tout État membre peut fixer notamment les catégories d'organismes de placement collectif en valeurs mobilières (OPCVM) exclues du champ d'application de la présente directive en raison de leur politique de placement et d'emprunt, ainsi que les règles spécifiques auxquelles ces OPCVM sont soumis lors de l'exercice de leurs activités sur son territoire ;
