Napier Brown and Company Limited, sugar merchant, packager and supplier of packet sugar for the retail trade, complained in 1985 to the Commission that British Sugar plc, the only U.K. producer of sugar from sugar beet and the largest U.K. sugar producer had, inter alia, engaged in various practices designed to drive Napier Brown out of the retail sugar market in Great Britain.

- 2 - The Commission has adopted a final decision, which states that British Sugar has until August 1986, abused its dominant position under Article 86 by carrying out the following abuses, most of which were aimed at removing Napier Brown from the market: 1. Constructively refusing to supply Napier Brown with industrial sugar, part of which Napier Brown needed for its retail repackaging operations. 2. Reducing its prices for retail sugar to the extent that an insufficient margin existed between its prices for retail and industrial sugar, therefore making it impossible for Napier Brown to repackage industrial sugar and sell it for retail sale at a profit. 3. Offering sugar on a delivered price basis only. 4. Discriminating against Napier Brown by refusing to supply it exclusively beet origin sugar whereas it supplied exclusively beet origin sugar to other purchasers at their request.
- 2 - La Commission a pris une décision définitive, qui constate que British Sugar a abusé de sa position dominante jusqu'en août 1986, enfreignant l'article 86 par les pratiques suivantes, la plupart desquelles avaient pour but d'évincer Napier Brown du marché: 1. en refusant de livrer du sucre industriel granulé à Napier Brown, dont une partie était nécessaire pour les opérations d'empaquetage au détail de Napier Brown; 2. en octroyant, pour le sucre destiné à la vente au détailde rabais ne laissant plus, entre le prix du sucre au détail et le prix du sucre industriel, qu'une marge insuffisante qui ne permettait plus à Napier Brown de réaliser un bénéfice sur la vente de sucre industriel réemballé pourla vente au détail; 3. en présentant des offres de sucre livrable uniquement sur la base du prix rendu; 4. en adoptant un comportement discriminatoire au détriment de Napier Brown se traduisant par le refus de livrer du sucre d'origine exclusivement betteravière à Napier Brown, alors que du sucre d'une telle origine était livré sur demande à d'autres clients.

Following discussions between British Sugar and Commission officials, held at the request of British Sugar, British Sugar has offered the following undertakings to the Commission, whilst reserving its position upon the facts and allegations contained in the Statement of Objections: (1) British Sugar agrees to supply a quantity of standard industrial sugar to Napier Brown on terms and conditions acceptable to the Commission (2) British Sugar will not seek to enter into any agreement with a customer whereby the customer agrees not to purchase products of Whitworths Ltd; (a shareholder in Napier Brown and the company which packages sugar for Napier Brown) (3) Regarding British Sugar's pricing policy, British Sugar has given the following undertaking to the Commission: "British Sugar accepts the need for sugar merchants and believes that they have a useful function to perform in the UK market.
