In May 2002 Belgium notified an aid of €12.45 million under the existing Multisectoral Framework on regional aid for large investment projects.

However, by letter dated 14 May 2002, Belgium informed the Commission that, notwithstanding its disagreement with the Commission’s analysis as set out in its decision to initiate proceedings, with a view to overcoming the Commission’s objections Sogepa’s holding would be reduced to EUR 9 million, the other EUR 11 million originally planned being contributed (also in cash) by Duferco Investment.

At the Transport Council meeting held on 26 March 2002, and with regard to the Regulation setting up the Joint Undertaking, as finally adopted on 21 May 2002, the Council and the Commission, on the one hand, and Belgium, on the other, made a declaration of commitment to exempt the Joint Undertaking and its staff from all taxes and social charges or similar obligations, to the extent that this was compatible with Community law and national law.

Accordingly, by letter of 30 October 2002 the Commission asked Belgium to provide all the information and arguments that may justify the EUR 0,05 rate for ships over 40 000 tonnes, bearing in mind that the rates which the Commission had previously accepted for recent flat-rate taxation schemes in other Member States range from EUR 0,20 to EUR 0,25 for the highest tonnages.

This position was confirmed by the Commission in June 2001 (see IP/01/872) and has been upheld by the European Court of Justice in its rulings of 4th June 2002 in cases C-367/98 Commission v Portugal, C-483/99 Commission v France and C-503/99 Commission v Belgium, as well as in its ruling of 13th May 2003 in case C-463/00 Commission v Spain and C-98/01 Commission v UK.

In expressing its concerns, the Commission takes account both of the ruling of the European Court of Justice of 23 May 2000 (Commission v Italy, case C-58/99), according to which, inter alia, a right to appoint members in the company's Board of Directors is liable to be contrary to the obligations of a Member State under Articles 43 and 56 of the Treaty, and of the Court's rulings of 4 June 2002 --Commission v France (C-483/99), Commission v Belgium (C-503/99) and Commission v Portugal (C-367/98) -, according to which legislation which is liable to dissuade investors in other Member States from capital investments may render the free movement of capital illusory, and thus constitute a restriction on movement of capital.
