However, the work undertaken by the national regulatory authorities (both individually and in the European Regulators Group) in analysing the wholesale national markets for Community-wide roaming has demonstrated that it has not yet been possible for a national regulatory authority to address effectively the high level of wholesale Community-wide roaming charges because of the difficulty in identifying undertakings with significant market power in view of the specific circumstances of Community-wide roaming, including its cross-border nature.

5. With regard to a concentration which would not have a Community dimension within the meaning of Article 1, the persons or undertakings concerned may, prior to its notification to the competent authorities of one or more Member States, inform the Commission by means of a reasoned submission that, in at least three Member States, the combined aggregate turnover of all undertakings concerned is more than 10% of the combined aggregate Community-wide turnover of all undertakings concerned, or that the concentration is subject to the national merger control rules of several Member States, or that the concentration for other reasons has significant cross-border effects and should therefore be examined by the Commission.

This should e.g. be the case when in at least three Member States the combined aggregate turnover of all undertakings concerned is more than 10% of the combined aggregate Community-wide turnover of all undertakings concerned, without excluding other possible reasons.

The European Commission has concluded that the concentration notified does not fall within the scope of the Merger Regulation. Each of the undertakings concerned has an aggregate Community-wide turnover of more than ECU 250 million but each of them achieves more than two thirds of its aggregate Community-wide turnover - within the meaning of Merger Regulation - in one and the same Member State.
