Definition: A form of tic disorder in which there are, or have been, multiple motor tics and one or more vocal tics, although these need not have occurred concurrently. The disorder usually worsens during adolescence and tends to persist into adult life. The vocal tics are often multiple with explosive repetitive vocalizations, throat-clearing, and grunting, and there may be the use of obscene words or phrases. Sometimes there is associated gestural echopraxia which may also be of an obscene nature (copropraxia).

3. Without prejudice to Article 4(6) and (7), Member States which before the entry into force of this Directive have already taken measures to ensure a more balanced representation of women and men among the non-executive directors of listed companies may suspend the application of the procedural requirements relating to appointments contained in Article 4(1), (3), (4) and (5), provided that it can be shown that those measures enable members of the under-represented sex to hold at least 40 per cent of the non-executive director positions of listed companies by at the latest 1 January 2020, or at the latest 1 January 2018 for listed companies which are public undertakings.
3. Sans préjudice de l’article 4, paragraphes 6 et 7, les États membres qui, avant l’entrée en vigueur de la présente directive, ont déjà adopté des mesures afin d’assurer une représentation plus équilibrée des femmes et des hommes parmi les administrateurs non exécutifs des sociétés cotées, peuvent suspendre l’application des exigences procédurales en matière de nomination énoncées à l’article 4, paragraphes 1, 3, 4, et 5, pour autant qu’il puisse être démontré que ces mesures permettront aux membres du sexe sous-représenté d’occuper 40 % au moins des postes d’administrateurs non exécutifs au plus tard d’ici le 1er janvier 2020 dans les sociétés cotées ou d’ici le 1er janvier 2018 s’il s’agit de sociétés cotées constituées en entreprises publiques.

6. Before the general meeting referred to in paragraph 7 one or more independent experts appointed or approved, in accordance with the national provisions adopted in implementation of Article 10 of Directive 78/855/EEC, by a judicial or administrative authority in the Member State to which the company being converted into an SE is subject shall certify in compliance with Directive 77/91/EEC mutatis mutandis that the company has net assets at least equivalent to its capital plus those reserves which must not be distributed under the law or the Statutes.
6. Avant l'assemblée générale visée au paragraphe 7, un ou plusieurs experts indépendants désignés ou agréés, selon les dispositions nationales adoptées en application de l'article 10 de la directive 78/855/CEE, par une autorité judiciaire ou administrative de l'État membre dont relève la société qui se transforme en SE, attestent, conformément à la directive 77/91/CE mutatis mutandis, que la société dispose d'actifs nets au moins équivalents au capital augmenté des réserves que la loi ou les statuts ne permettent pas de distribuer.

[11] The alternatives are: (i) a national division and a subsequent cross-border merger, which can be carried out on the basis of the SE Regulation or Directive 2005/56/EC and – if the cross-border merger is carried out on the basis of Directive 2005/56/EC – finally a conversion of the acquiring company into an SE, or (ii) a national division, followed by a conversion of the acquiring company into an SE and a subsequent transfer of the registered office of the SE.
