In determining whether the criteria for a qualifying holding referred to in Article 10 and in this Article are fulfilled, Member States shall not take into account voting rights or shares which investment firms or credit institutions may hold as a result of providing the underwriting of financial instruments and/or placing of financial instruments on a firm commitment basis included under point 6 of Section A of Annex I, provided that those rights are, on the one hand, not exercised or otherwise used to intervene in the management of the issuer and, on the other, disposed of within one year of acquisition.

30. Stresses the promising role of new financial engineering instruments based on the principles of ‘projects for money’ and ‘money for projects’ put in place during the current programming period; stresses the need to create scalable financial engineering instruments that can be viable and feasible for much smaller urban areas; calls on the Commission to evaluate the experience with these tools and adapt them where necessary in order to improve their competitive position on the financial market in comparison with common commercial products with a view to making them more user-friendly, practical, attractive and, hence, effective; believes that the interest rates of EIB financial tools should be made lower in comparison with commercial loans to this end; calls on the Member States, in view of the positive results obtained from the use of existing financial engineering instruments, to ensure at all times that the most effective use is made of the potential benefits of these financial instruments;
30. souligne le rôle prometteur des nouveaux instruments d'ingénierie financière mis en place au cours de la période de programmation actuelle, selon les principes de la création de projets en fonction des fonds disponibles et de l'octroi des fonds aux projets prévus; insiste sur la nécessité de créer des instruments d'ingénierie financière qui soient évolutifs, viables et utilisables également par des zones urbaines de petite taille; invite la Commission à évaluer l'expérience acquise avec ces instruments et à les adapter le cas échéant, pour améliorer leur compétitivité sur le marché financier par rapport aux produits commerciaux habituels afin de les rendre plus simples, plus pratiques, plus attrayants et, partant, plus efficaces; estime à cet égard que les taux d'intérêt des outils financiers de la BEI devraient être abaissés par rapport aux taux du marché; invite les États membres, compte tenu des résultats positifs de l'utilisation des instruments actuels d'ingénierie financière, à toujours veiller à exploiter au mieux les avantages potentiels de ces instruments financiers;

Member States shall ensure that there is appropriate regulation in place to ensure that persons who produce or disseminate research concerning financial instruments or issuers of financial instruments and persons who produce or disseminate other information recommending or suggesting investment strategy, intended for distribution channels or for the public, take reasonable care to ensure that such information is fairly presented and disclose their interests or indicate conflicts of interest concerning the financial instruments to which that information relates.
5. Les États membres s'assurent qu'il existe une réglementation appropriée pour garantir que les personnes qui réalisent ou diffusent des travaux de recherche concernant des instruments financiers ou des émetteurs d'instruments financiers ou les personnes qui produisent ou diffusent d'autres informations recommandant ou suggérant une stratégie d'investissement, destinés aux canaux de distribution ou au public, veillent, avec une attention raisonnable, à ce que l'information soit présentée de manière équitable et mentionnent leurs intérêts ou l'existence de conflits d'intérêts en rapport avec les instruments financiers auxquels se rapporte cette information.
