2. The Deputy Executive Director or Deputy Executive Directors shall be appointed, extended in their term of office or removed from office as provided for in Article 39a, after consultation of the Executive Director and, where applicable, the Executive Director elect".

(2) If, at any election of directors referred to in subsection (1), two or more persons receive an equal number of votes and there are not sufficient vacancies remaining to enable all the persons receiving an equal number of votes to be elected, the directors who receive a greater number of votes or the majority of them shall, in order to complete the full number of directors to be elected, determine which of the persons so receiving an equal number of votes are to be elected.

Any Governor who does not participate in voting for the election or whose vote does not contribute to the election of a Director under Section A or Section B (i) or Section B (ii) or Section B (iii) of this Annex may assign the votes to which he or she is entitled to an elected Director, provided that such Governor shall first have obtained the agreement of all those Governors who have elected that Director to such assignment.

(2) Where a meeting referred to in subsection (1) is called and there is no quorum or the meeting fails to elect a director to fill a vacancy among the directors, the Board may fill the vacancy but, in filling the vacancy, the Board shall elect a representative of a member of the class represented by the director whose departure from the Board resulted in the vacancy for the remainder of the term of that director.

The definition of 'director' clarifies that the objectives set by the directive cover all non-executive directors, including employee representatives in those Member States where a certain proportion of the non-executive directors can or must be appointed or elected by the company's workforce and/or organisations of workers pursuant to national law or practice while the practical procedures for ensuring that the objectives provided for in this Directive are attained should be defined by the Member States concerned (see Recital 21).
