(4) Directive 2004/39/EC of the European Parliament and the Council of 21 April 2004 established rules for making the trading in shares admitted to trading on a regulated market pre- and post-trade transparent and for reporting transactions in financial instruments admitted to trading on a regulated market to competent authorities; the Directive needs to be recast in order to appropriately reflect developments in financial markets and to address weaknesses and to close loopholes that were inter alia exposed in the financial market crisis.
4. La directive 2004/39/CE du Parlement européen et du Conseil du 21 avril 2004 a établi des règles visant à assurer la transparence, avant et après négociation, des transactions portant sur des actions admises à la négociation sur un marché réglementé et la déclaration aux autorités compétentes des transactions sur instruments financiers admis à la négociation sur un marché réglementé; une refonte de cette directive s'impose pour tenir compte de manière appropriée de l’évolution des marchés financiers et remédier aux lacunes révélées, notamment, par la crise financière.

Those measures are designed to adapt definitions or modify the scope of exemptions under that Directive; elaborate upon or supplement provisions of that Directive concerning organisational requirements or operating conditions imposed upon investment firms or credit institutions; and add detailed specifications on the pre- and post-trade transparency obligations imposed upon the various negotiating venues under that Directive.

On the other hand, that Directive recognises that there may be circumstances where exemptions from pre-trade transparency obligations, or deferral of post-trade transparency obligations, may be necessary.
