In July 2014, the Commission also looked back at ten years of merger control since the latest overhaul of EU Merger Regulation in 2004, launching a public consultation on proposals to improve merger control at EU level in the White Paper “Towards More Effective EU Merger Control” .

It is a text that takes the traditional view when it comes to competition law and controlling mergers.

In the case of a merger within the meaning of Article 3(1)(a) of the Merger Regulation or the acquisition of joint control in an undertaking within the meaning of Article 3(1)(b) of the Merger Regulation, the notification shall be completed jointly by the parties to the merger or by those acquiring joint control as the case may be.

(a) whether the proposed concentration is a full legal merger, an acquisition of sole or joint control, a full-function joint venture within the meaning of Article 3(2) of the Merger Regulation or a contract or other means of conferring direct or indirect control within the meaning of Article 3(3) of the Merger Regulation;

The simplified procedure followed by the Commission concerns merger transactions: (a) where the joint venture's turnover and total assets are each less than 100 million; (b) where, in the case of a merger or of acquisition of sole or joint control of another undertaking, the parties are not engaged in business activities on the same market as any other party to the merger; (c) where, in the case of a merger or of acquisition of sole or joint control of another undertaking, the parties are engaged in business activities on the same market as another party to the merger but their combined market share is not 15% or more for horizontal relationships and 25% or more for vertical relationships.
La procédure simplifiée suivie par la Commission concerne le traitement des opérations de concentration: a) lorsqu'une entreprise commune détient un chiffre d'affaires et un total des actifs inférieurs chacun à 100 millions d'euros; b) lorsque, en cas de fusion et d'une entreprise à contrôle exclusif ou commune, les parties n'exercent pas d'activités commerciales sur le même marché sur lequel opère une partie à la concentration; c) lorsque, en cas de fusion et d'une entreprise à contrôle exclusif ou commun, les parties exercent des activités commerciales sur le même marché sur lequel opère une partie à la concentration mais leurs parts de marché cumulées n'atteignent pas 15% en cas de relations horizontales et 25% en cas de relations verticales.
