(22) Whereas in principle this Directive requires every investment firm to join an investor-compensation scheme; whereas the Directives governing the admission of any investment firm the head office of which is in a non-member country, and in particular Directive 93/22/EEC, allow Member States to decide whether and subject to what conditions to permit branches of such investment firms to operate within their territories; whereas such branches will not enjoy the freedom to provide services under the second paragraph of Article 59 of the Treaty, or the right of establishment in Member States other than those in which they are established; whereas, accordingly, a Member State admitting such branches must decide how to apply the principles of this Directive to such branches in accordance with Article 5 of Directive 93/22/EEC and with the need to protect investors and maintain the integrity of the financial system; whereas it is essential that investors at such branches should be fully aware of the compensation arrangements applicable to them;
(22) considérant que la présente directive impose en principe à toutes les entreprises d'investissement d'adhérer à un système d'indemnisation des investisseurs; que les directives régissant l'admission des entreprises d'investissement qui ont leur siège social dans un pays tiers, et notamment la directive 93/22/CEE, permettent aux États membres de décider si et à quelles conditions ils autorisent les succursales de ces entreprises d'investissement à exercer leurs activités sur leur territoire; que ces succursales ne bénéficient pas de la libre prestation de services, en vertu de l'article 59 deuxième alinéa du traité, ni de la liberté d'établissement dans des États membres autres que celui où elles sont établies; que l'État membre qui admet de telles succursales doit donc décider d'une manière de leur appliquer les principes contenus dans la présente directive qui soit compatible avec l'article 5 de la directive 93/22/CEE et avec la nécessité de protéger les investisseurs et de préserver l'intégrité du système financier; qu'il est essentiel que les investisseurs qui s'adressent à ces succursales soient pleinement informés des dispositions qui leur sont applicables en matière d'indemnisation;
