Definition: A type of pervasive developmental disorder that is defined by a period of entirely normal development before the onset of the disorder, followed by a definite loss of previously acquired skills in several areas of development over the course of a few months. Typically, this is accompanied by a general loss of interest in the environment, by stereotyped, repetitive motor mannerisms, and by autistic-like abnormalities in social interaction and communication. Points out that the rules governing corporate governance are generally designed to maintain a duality of power within the collegiate decision-making body by distinguishing between management and supervisory functions so as to limit conflicts of interest but stresses that non-executive structures may, besides their monitoring task, also have vital advisory, mediating and networking functions, and a particular role in linking up with societal demands and general interest. These rules are also designed to strengthen the role and rights of shareholders, in particular through better information and financial transparency. However, the recent financial scandals and the way they have affected the system as a whole offer grounds for a broader approach to matters of corporate governance; requests therefore that, in addition to the interests of institutional or individual shareholders, which are dealt with in depth in the communication, the Commission should take explicit account of the interests of all other stakeholders (employees, creditors, clients, suppliers, etc.) in the various proposals it will be submitting as part of its action plan, giving particular weight to the principle of corporate social and environmental responsibility; emphasises that decent structures and practices of information and consultation of workers form an indispensable part of European corporate governance and is of the opinion that all European company law directives should contain obligations for information and consultation of employee representatives where major decisions are at stake for the continuity of firms and jobs.

This has also been recognised by the Commission, most recently in its Communication on the tax treatment of occupational pensions (COM(2001)260). In that communication, the Commission points out that significant progress is unlikely and that it instead intends to rely on other instruments to improve the situation, in particular the application of general principles of Community law (notably non-discrimination) also as regards taxation.

It does seek, however, to define a global strategy to combat this evil. Given the challenges emanating from the USA in particular, - the Commission would point out that between 1982 and 1985 some 6 800 European research workers emigrated to the USA, that in 1985 9% of the scientific and technical staff employed in US industry was of Community origin and furthermore that the US Strategic Defence Initiative will mobilize thousands of research workers and engineers, including those of Community origin, without there being an equivalent programme in the Community - the Commission is asking the Twelve to agree to a major initiative for the period 1988-1992 as European scientists urgently need a climate in which intra-Community cooperation in new areas of science and technology is both possible and actively encouraged.
