Welcomes the legal clarification of the conditions under which procurement law applies to institutionalised public-private partnerships, particularly given the great importance that the Commission, in its communication of 19 November 2009, attaches to such partnerships in connection with combating climate change and promoting renewable forms of energy and sustainable transport; points out that the public procurement directives always apply if a task is to be conferred on an undertaking which is privately owned, even to a very small extent; emphasises, however, that both the Commission, in its communication of 5 February 2008, and the CJEU, in its judgment of 15 October 2009 in Case C-196/08, have made it clear that a double competitive tendering procedure is not required in connection with the award of contracts to, or the conferral of certain tasks on, newly-established public-private partnerships, but that all the following criteria must be met before a concession can be awarded without competitive tendering to a mixed public-private undertaking specially established for that purpose:
15. se félicite de la clarification juridique des conditions dans lesquelles la législation en matière de marchés publics s'applique aux partenariats public–privé institutionnalisés, compte tenu de l'importance majeure que la Commission attache, dans sa communication du 19 novembre 2009, à la lutte contre le changement climatique, à la promotion des énergies renouvelables et au transport durable; fait observer que les directives relatives à la passation des marchés publics s'appliquent toujours quand une entreprise se voit conférer une mission privée, même mineure; souligne toutefois que tant la Commission, dans sa communication du 5 février 2008, que la Cour de justice de l'Union européenne, dans son arrêt du 15 octobre 2009 dans l'affaire C–196/08, ont constaté que lorsque certaines missions font l'objet d'une adjudication et sont transférées à un partenariat public–privé qui vient d'être créé, la double adjudication n'était pas nécessaire; fait toutefois observer que toutes les conditions suivantes doivent être remplies pour que le transfert d'une concession à une entreprise mixte publique–privée créée à cette fin puisse se faire sans procédure de mise en concurrence:
