(e)‘exchange of shares’ means an operation whereby a company acquires a holding in the capital of another company such that it obtains a majority of the voting rights in that company, or, holding such a majority, acquires a further holding, in exchange for the issue to the shareholders of the latter company, in exchange for their securities, of securities representing the capital of the former company, and, if applicable, a cash payment not exceeding 10 % of the nominal value, in the absence of a nominal value, of the accounting par value of the securities issued in exchange.
e)«échange d’actions», l’opération par laquelle une société acquiert, dans le capital social d’une autre société, une participation ayant pour effet de lui conférer la majorité des droits de vote de cette société, ou, si elle détient déjà une telle majorité, acquiert une nouvelle participation moyennant l’attribution aux associés de l’autre société, en échange de leurs titres, de titres représentatifs du capital social de la première société et, éventuellement, d’une soulte en espèces ne dépassant pas 10 % de la valeur nominale ou, à défaut de valeur nominale, du pair comptable des titres qui sont remis en échange.
