Provisions in respect of trade and regulatory transparency requirements need to take the form of directly applicable law applied to all investment firms that should follow uniform rules in all Union markets, in order to provide for a uniform application of a single regulatory framework, to strengthen confidence in the transparency of markets across the Union, to reduce regulatory complexity and investment firms’ compliance costs, especially for financial institutions operating on a cross-border basis, and to contribute to the elimination of distortions of competition.
Les dispositions régissant la négociation et les obligations réglementaires de transparence doivent être directement applicables à toutes les entreprises d’investissement, qu’il convient de soumettre à une réglementation uniforme sur tous les marchés de l’Union pour assurer l’application homogène d’un cadre réglementaire unique, renforcer la confiance dans la transparence des marchés de toute l’Union, réduire les complications réglementaires et les coûts de mise en conformité des entreprises d’investissement, notamment pour les établissements financiers exerçant leurs activités dans plusieurs pays, et contribuer à l’élimination des distorsions de concurrence.

In order to allow the spouses to choose an applicable law with which they have a close connection or, in the absence of such choice, in order that that law might apply to their divorce or legal separation, the law in question should apply even if it is not that of a participating Member State.

It should apply in civil and commercial matters. However, it should not apply to rights and obligations on which the parties are not free to decide themselves under the relevant applicable law.

Nevertheless, despite the harmonisation of these rules, doubts on the interpretation of these rules may remain pending further guidance by the ECJ on their application, especially as regards the Regulation on the applicable law on the non-contractual obligations "Rome II", which only applies since recently in the Union.
