The exemption provided for in Article 4 shall not apply to vertical agreements which, directly or indirectly, in isolation or in combination with other factors under the control of the parties, have as their object:

The requirements of point 5.3.2.3 shall not apply to floor-mounted hand brake control ; for such controls if the height of any part in the released position is above a horizontal plane passing through the lowest H point of the front seats (see Annex IV) the control shall have a cross sectional area of at least 6 75 cm2, measured in a horizontal plane, not more than 6 75 mm from the furthest projecting part (measured in the vertical direction).

The simplified procedure followed by the Commission concerns merger transactions: (a) where the joint venture's turnover and total assets are each less than 100 million; (b) where, in the case of a merger or of acquisition of sole or joint control of another undertaking, the parties are not engaged in business activities on the same market as any other party to the merger; (c) where, in the case of a merger or of acquisition of sole or joint control of another undertaking, the parties are engaged in business activities on the same market as another party to the merger but their combined market share is not 15% or more for horizontal relationships and 25% or more for vertical relationships.
La procédure simplifiée suivie par la Commission concerne le traitement des opérations de concentration: a) lorsqu'une entreprise commune détient un chiffre d'affaires et un total des actifs inférieurs chacun à 100 millions d'euros; b) lorsque, en cas de fusion et d'une entreprise à contrôle exclusif ou commune, les parties n'exercent pas d'activités commerciales sur le même marché sur lequel opère une partie à la concentration; c) lorsque, en cas de fusion et d'une entreprise à contrôle exclusif ou commun, les parties exercent des activités commerciales sur le même marché sur lequel opère une partie à la concentration mais leurs parts de marché cumulées n'atteignent pas 15% en cas de relations horizontales et 25% en cas de relations verticales.
