This would be against the above stated objective of the smooth functioning of credit transfers in the Internal Market. This would also ignore the considerable "acquis communautaire" of payment legislation or the objectives of the New Legal Framework for Payments. The Commission is therefore of the opinion that the EU should be regarded as one jurisdiction in respect of the transposition of SRVII. Consequently, considering the EU as a single jurisdiction, the Commission proposes to apply the notion of "domestic transfers" in the sense of SRVII to intra-EU transfers and the notion of "international transfers" to transfers between the EU and third countries.

For transfers of appropriations concerning operational expenditure referred to in Regulations (EC) No 1260/1999, (EC) No 1290/2005, (EC) No 1080/2006, (EC) No 1081/2006, (EC) No 1083/2006, Regulation (EC) No 1084/2006, and (EC) No 1198/2006, for which Union payments still have to be made for the financial settlement of outstanding Union commitments until the closure of the assistance, the Commission may make transfers from one title to another, provided that the appropriations concerned are for the same objective or relate to Union initiatives or to technical assistance and innovative measures and are transferred to measures of the same nature.

It is necessary to allow Member States the possibility of refusing to apply this Directive where the merger, division, partial division, transfer of assets, exchange of shares or transfer of the registered office of an SE or SCE has as its objective tax evasion or avoidance or results in a company, whether or not it participates in the operation, no longer fulfilling the conditions required for the representation of employees in company organs.
