(k) enabling the trader to unilaterally alter the terms of the contract including the characteristics of the product or service without a valid reason which is specified in the contract ; this does not affect terms under which a supplier of financial services reserves the right to change the rate of interest to be paid by, or to, the consumer, or the amount of other charges for financial services without notice where there is a valid reason, provided that the supplier is required to inform the consumer at the earliest opportunity and that the consumer is free to terminate the contractual relationship with immediate effect; neither does it affect terms under which a trader reserves the right to alter unilaterally the conditions of a contract of indeterminate duration, provided that the trader is required to inform the consumer with reasonable notice, and that the consumer is free to terminate the contractual relationship;

The Agreement has been concluded for an initial period of five (5) years and, unless terminated by one of the parties giving notice six weeks before the expiry of the five-year period, it is tacitly renewed for additional periods of two years unless notice of termination is given at least three months before the expiry of any two-year period.

TEXTRIGHT 6. The exemption provided for in Article 2 shall apply on condition that the vertical agreement concluded with a distributor or repairer provides that if a supplier wishes to give notice of termination, the period of notice for regular termination of the agreement has to be at least two years for both parties.

5. The exemption provided for in Article 2 shall apply on condition that the vertical agreement concluded with a distributor or repairer provides that if a supplier wishes to give notice of termination, the notice must include detailed reasons for the termination in order to prevent a supplier to end a vertical agreement with a distributor because of practices which may not be restricted under this regulation, in particular those practices, restriction of which results in the misapplication of the exemption either to the vertical agreement as a whole, in accordance with Article 4, or to the restriction in question, in accordance with Article 5.
5. (10) To prevent a supplier from announcing an exceptional notice of termination because a distributor or a repairer engages in pro-competitive behaviour, such as active or passive sales to foreign consumers, multi-branding or subcontracting of after sales services, which may not be restricted under this Regulation, such notices of termination by the supplier should not be legally valid.
(10) Afin d'empêcher un fournisseur de procéder à la résiliation extraordinaire d' un contrat parce qu'un distributeur ou un réparateur a un comportement favorisant la concurrence, tel que des ventes actives ou passives à des consommateurs étrangers, le "multimarquisme" ou la sous-traitance du service après-vente, qui ne saurait être interdit en vertu du présent règlement, une telle résiliation n'a pas de validité juridique.
