IN-CONTEXT TRANSLATIONS

1. Toute personne physique ou morale qui a pris la décision d'acquérir ou d'augmenter, directement ou indirectement, une participation qualifiée au sens de l'article 4, paragraphe 1, point 36), du règlement (UE) n° 575/2013 dans un établissement de paiement, avec pour conséquence que la proportion de parts de capital ou de droits de vote détenue atteindrait ou dépasserait les seuils de 20 %, 30 % ou 50 % ou que l'établissement de paiement deviendrait sa filiale, informe à l'avance et par écrit les autorités compétentes dont relève ledit établissement de paiement de son intention.
1. Any natural or legal person who has taken a decision to acquire or to further increase, directly or indirectly, a qualifying holding within the meaning of point (36) of Article 4(1)of Regulation (EU) No 575/2013 in a payment institution, as a result of which the proportion of the capital or of the voting rights held would reach or exceed 20 %, 30 % or 50 %, or so that the payment institution would become its subsidiary, shall inform the competent authorities of that payment institution in writing of their intention in advance.

3. Toute personne physique ou morale qui a pris la décision d’acquérir ou de céder, directement ou indirectement, une participation qualifiée au sens de l’article 4, point 11), de la directive 2006/48/CE dans un établissement de monnaie électronique, ou d’augmenter ou de réduire, directement ou indirectement, cette participation qualifiée avec pour conséquence que la proportion de parts de capital ou de droits de vote détenue atteindrait, dépasserait ou deviendrait inférieure aux seuils de 20 %, 30 % ou 50 % ou que l’établissement de monnaie électronique deviendrait sa filiale ou cesserait de l’être, informe à l’avance les autorités compétentes de son intention de procéder à une telle acquisition, cession, augmentation ou réduction.
3. Any natural or legal person who has taken a decision to acquire or dispose of, directly or indirectly, a qualifying holding within the meaning of point 11 of Article 4 of Directive 2006/48/EC in an electronic money institution, or to further increase or reduce, directly or indirectly, such qualifying holding as a result of which the proportion of the capital or of the voting rights held would reach, exceed or fall below 20 %, 30 % or 50 %, or so that the electronic money institution would become or cease to be its subsidiary, shall inform the competent authorities of their intention in advance of such acquisition, disposal, increase or reduction.

2. Si la personne qui envisage d'acquérir une participation visée au paragraphe 1 est un établissement de crédit agréé, une entreprise d'assurance agréée ou une entreprise d'investissement agréée dans un autre État membre, ou l'entreprise mère d'une telle entité, ou une personne physique ou morale contrôlant une telle entité, et que, en conséquence de cette acquisition, l'établissement de crédit dans lequel l'acquéreur envisage de détenir une participation deviendrait une filiale dudit acquéreur ou serait contrôlée par lui, l'évaluation de son acquisition doit être soumise à la procédure de consultation préalable prévue à l'article 15.
2. If the person proposing to acquire the holdings referred to in paragraph 1 is a credit institution, insurance undertaking or investment firm authorised in another Member State or the parent undertaking of a credit institution, insurance undertaking or investment firm authorised in another Member State or a natural or legal person controlling a credit institution, insurance undertaking or investment firm authorised in another Member State, and if, as a result of that acquisition, the credit institution in which the acquirer proposes to hold a holding would become a subsidiary or subject to the control of the acquirer, the assessment of the acquisition shall be subject to the prior consultation provided for in Article 15.

4. Si l'acquéreur d'une participation visée au paragraphe 3 est soit une entreprise d'investissement, un établissement de crédit, une entreprise d'assurance ou la société de gestion d'OPCVM agréés dans un autre État membre, soit l'entreprise mère d'une entreprise d'investissement, d'un établissement de crédit, d'une entreprise d'assurance ou de la société de gestion d'OPCVM agréés dans un autre État membre, soit une personne contrôlant une entreprise d'investissement, un établissement de crédit, une entreprise d'assurance ou la société de gestion d'OPCVM agréés dans un autre État membre, et dès lors qu'à la suite de cette acquisition, l'entreprise ciblée deviendrait la filiale de l'acquéreur ou relèverait de son contrôle, l'évaluation de ladite acquisition fait l'objet de la consultation préalable prévue à l'article 60.
4. If the acquirer of any holding referred to in paragraph 3 is an investment firm, a credit institution, an insurance undertaking or a UCITS management company authorised in another Member State, or the parent undertaking of an investment firm, credit institution, insurance undertaking or a UCITS management company authorised in another Member State, or a person controlling an investment firm, credit institution, insurance undertaking or a UCITS management company authorised in another Member State, and if, as a result of that acquisition, the undertaking would become the acquirer's subsidiary or come under his control, the assessment of the acquisition shall be subject to the prior consultation provided for in Article 60.

4. Si l'acquéreur d'une participation visée au paragraphe 3 est une entreprise d'investissement, un établissement de crédit ou une entreprise d'assurance agréé(e) dans un autre État membre, ou l'entreprise mère d'une entreprise d'investissement, d'un établissement de crédit ou d'une entreprise d'assurance agréé(e) dans un autre État membre, ou une personne contrôlant une entreprise d'investissement, un établissement de crédit ou une entreprise d'assurance agréé(e) dans un autre État membre, et dès lors qu'à la suite de cette acquisition, l'entreprise ciblée deviendrait sa filiale ou relèverait de son contrôle, l'évaluation de ladite acquisition fait l'objet de la consultation préalable prévue à l'article 56.
4. If the acquirer of any holding referred to in paragraph 3 is an investment firm, a credit institution or an insurance undertaking authorised in another Member State, or the parent undertaking of an investment firm, credit institution or insurance undertaking authorised in another Member State, or a person controlling an investment firm, credit institution or insurance undertaking authorised in another Member State, and if, as a result of that acquisition, the undertaking would become the acquirer's subsidiary or come under his control, the assessment of the acquisition shall be subject to the prior consultation provided for in Article 56.

d) "filiale ou établissement concerné", une filiale ou un établissement d'une entité juridique participante, qui deviendrait une filiale ou un établissement de la SCE lors de sa constitution;
(d) "concerned subsidiary or establishment" means a subsidiary or establishment of a participating legal entity which is proposed to become a subsidiary or establishment of the SCE upon its formation;

"1 bis. Si l'acquéreur d'une participation visée au paragraphe 1 est une entreprise d'assurance agréée, un établissement de crédit agréé ou une entreprise d'investissement agréée dans un autre État membre, ou l'entreprise mère d'une telle entité, ou une personne physique ou morale contrôlant une telle entité, et si, en conséquence de cette acquisition, l'entreprise dans laquelle l'acquéreur se propose de détenir une participation deviendrait une filiale dudit acquéreur ou serait contrôlée par lui, l'évaluation de son acquisition doit être soumise à la procédure de consultation préalable visée à l'article 12 bis de la directive 73/239/CEE".
"1a. If the acquirer of the holdings referred to in paragraph 1 is an insurance undertaking, a credit institution or an investment firm authorised in another Member State, or the parent undertaking of such an entity, or a natural or legal person controlling such an entity, and if, as a result of that acquisition, the undertaking in which the acquirer proposes to hold a holding would become a subsidiary or subject to the control of the acquirer, the assessment of the acquisition must be subject to the prior consultation referred to in Article 12a of Directive 73/239/EEC".

(d) "concerned subsidiary or establishment" means a subsidiary or establishment of a participating company which is proposed to become a subsidiary or establishment of the SE upon its formation;
