Au sujet de la mesure 15 (reprise des parts de MSR par NG et RIM), l'Allemagne soutient qu'elle n'a procuré aucun avantage économique à Mediinvest, Geisler Trimmer et Weber pour les raisons suivantes: a) les parts ont été reprises pour un prix d'achat unitaire symbolique de 1 EUR seulement; b) cette mesure n'était pas associée à d'autres avantages, comme une dénonciation de prêts aux actionnaires ou des garanties des actionnaires; c) NG et RIM ont repris les parts de MSR pour réunir la propriété du volet II et celle du volet I du projet Nürburgring 2009 et rendre ainsi possible un concept d'exploitation unique; et d) la question de savoir si MSR était potentiellement une entreprise en difficulté au moment du transfert n'est pas pertinente pour l'appréciation de cette mesure car MSR était une société à responsabilité limitée («GmbH»), de sorte que la responsabilité des actionnaires était de toute manière limitée au capital social.
As regards measure 15 (takeover of MSR shares by NG and RIM), Germany claims that it does not constitute an economic advantage for Mediinvest, Geisler Trimmel and Weber, because: (a) it was carried out at the symbolic price of EUR 1 per share; (b) it did not involve any other advantages such as the cancellation of shareholder loans or guarantees of the shareholder; (c) NG and RIM took over the shares in MSR as to compile the ownership of Part II with that of Part I of the ‘Nürburgring 2009’ project and to enable a united business concept; and d) the question whether MSR was in difficulty at the moment of the transfer has no impact on this assessment, as MSR is a company with limited liability, thus the liability of the shareholders is in any event limited to the capital of the company.
