Is deeply concerned that the Joint Undertaking has not yet adopted all the rules implementing the Staff Regulations; notes with concern that the working space currently made available is insufficient and impedes its staff from operating in reasonable conditions; is deeply concerned that the working space conditions are having a negative impact on the Joint Undertaking’s efforts to fill all the available posts and reduce the vacancy rate; observes with concern that the working space conditions were cited by its employees as one of the major difficulties and concerns in a recent survey amongst the Joint Undertaking’s staff; asks the Commission and the Director of the Joint Undertaking to present a report to the discharge authority detailing the reasons of the delay on the implementation of the staff regulations and on the situation concerning the working conditions;

Le statut des fonctionnaires et le régime applicable aux autres agents de l'Union européenne, fixés par le règlement (CEE, Euratom, CECA) no 259/68 du Conseil (10), ainsi que les règles adoptées conjointement par les institutions de l'Union aux fins de l'application de ce statut et de ce régime, sont applicables au personnel employé par l'entreprise commune S2R.
1. The Staff Regulations of Officials and the Conditions of Employment of other Servants of the European Union as laid down by Council Regulation (EEC, Euratom, ECSC) No 259/68 (10) and the rules adopted by agreement between the institutions of the Union for the purpose of giving effect to those Staff Regulations and Conditions of Employment of Other Servants shall apply to the staff employed by the S2R Joint Undertaking.

5. Les statuts de l'entreprise commune S2R (ci-après dénommés «statuts») figurent à l'annexe I.
5. The Statutes of the S2R Joint Undertaking (‘the Statutes’) are set out in Annex I.

P. considérant, s'agissant de la représentation des travailleurs, que la référence à la directive 2009/38/CE du Parlement européen et du Conseil du 6 mai 2009 concernant l'institution d'un comité d'entreprise européen ou d'une procédure dans les entreprises de dimension communautaire et les groupes d'entreprises de dimension communautaire en vue d'informer et de consulter les travailleurs (refonte) devrait être renforcée afin d'établir clairement que les règles procédurales prévues par cette directive sont d'application; considérant, par ailleurs, qu'il conviendrait de sanctionner plus durement les infractions, notamment en subordonnant l'enregistrement des FE au respect des exigences de la directive 2009/38/CE, conformément à l'article 11, paragraphe 2, du règlement (CE) nº 1435/2003 du Conseil du 22 juillet 2003 relatif au statut de la société coopérative européenne (SEC) ; considérant, en outre, que des dispositions doivent être prises en ce qui concerne l'association des travailleurs aux travaux des organes des FE, conformément à la directive 2001/86/CE du Conseil du 8 octobre 2001 complétant le statut de la société européenne pour ce qui concerne l'implication des travailleurs , pour éviter l'utilisation abusive de la forme juridique de la FE aux fins de priver les travailleurs de droits en matière de participation ou de refuser ces droits;
P. whereas, as regards representation of employees, the reference to Directive 2009/38/EC of the European Parliament and of the Council of 6 May 2009 on the establishment of a European Works Council or a procedure in Community-scale undertakings and Community-scale groups of undertakings for the purposes of informing and consulting employees (Recast) should be strengthened in order to make clear that the procedural rules under that Directive apply; whereas, furthermore, there should be greater sanctions on infringements, for instance by making the registration of an FE conditional on fulfilment of the requirements under Directive 2009/38/EC, in line with Article 11(2) of Council Regulation (EC) No 1435/2003 of 22 July 2003 on the Statute for a European Cooperative Society (SCE) ; whereas, beyond this, provisions are necessary regarding the involvement of employees in the bodies of an FE, in line with Council Directive 2001/86/EC of 8 October 2001 supplementing the Statute for a European company with regard to the involvement of employees , so that the form of an FE cannot be misused for the purpose of depriving employees of rights to employee involvement or withholding such rights;

· Le besoin d’un éventuel statut européen pour les autres formes des entreprises sociales comme les associations sans but lucratif et/ou éventuellement d’un statut européen commun pour les entreprises sociales. Pour ce faire, une fois adoptée la proposition sur le statut de la fondation européenne, elle organisera une réunion de haut niveau entre les parties prenantes de tous les secteurs impliqués dans l’entreprenariat social, le Parlement européen, le Conseil, afin de réfléchir aux initiatives à prendre pour améliorer le cadre juridique, au niveau européen, des entreprises sociales.
· The need for a possible European statute for other forms of social enterprise such as non profit-making associations and/or a possible common European statute for social enterprises (To achieve this, once the European Foundation Statute proposal has been adopted, the Commission will organise a high-level meeting between key stakeholders from all sectors involved in social entrepreneurship, the European Parliament and the Council in order to consider the initiatives to be taken to improve the legal framework for social enterprises at European level.)

2. Sans préjudice du paragraphe 3 du présent article et de l'article 7, paragraphe 2, des statuts, l'entreprise commune ENIAC exerce à l'égard de son personnel les pouvoirs qui sont dévolus à l'autorité investie du pouvoir de nomination par le statut des fonctionnaires des Communautés européennes et à l'autorité habilitée à conclure les contrats d'engagement par le régime applicable aux autres agents des Communautés européennes.
2. Without prejudice to paragraph 3 of this Article and Article 7(2) of the statutes, the ENIAC Joint Undertaking shall exercise the powers conferred on the appointing authority by the Staff Regulations of Officials of the European Communities and on the authority empowered to conclude contracts by the Conditions of Employment of Other Servants of the European Communities in respect of its staff.

Le statut des fonctionnaires des Communautés européennes, le régime applicable aux autres agents des Communautés européennes et les réglementations adoptées d'un commun accord par les institutions des Communautés européennes aux fins de l'application de ce statut et de ce régime sont applicables au personnel de l'entreprise commune ENIAC et à son directeur exécutif.
1. The Staff Regulations of Officials of the European Communities, the Conditions of Employment of Other Servants of the European Communities and the rules adopted jointly by the institutions of the European Communities for the purpose of applying these Staff Regulations and Conditions of Employment shall apply to the staff of the ENIAC Joint Undertaking and its executive director.

Cela concernera plus particulièrement la nature juridique, la capacité de jouissance et d'exercice de droits, la constitution, la modification des statuts, la transformation et la dissolution, et le nom ou la raison sociale de l'entreprise, ainsi que la structure organisationnelle, le pouvoir de représentation des organes de la société, l'acquisition et la perte du statut d'associé et les droits et obligations qui y sont liés, et la responsabilité de la société, des gérants, des membres de ses organes et de ses associés à l'égard des obligations de l'entreprise, ainsi que les normes minimales s'agissant des obligations des gérants vis-à-vis de la société; le statut de la SPE doit aussi définir le fonctionnement des organes de la société, les majorités de vote requises, les consultations des associés et les conditions d'acquisition et de cession des parts de la société; ces dispositions pourront varier en fonction des besoins de chaque société.
This applies with regard to a company's legal status, legal capacity and capacity to act, its formation, modification of its articles of association, its conversion and dissolution, and its name or business name, the organisational structure, the representative powers of company bodies, the acquisition and loss of membership and the rights and duties associated therewith, and the liability of the company, of the executive directors, of the members of its bodies and of its members in respect of the company's obligations, as well as minimum standards concerning the duties of management vis-à-vis the company; moreover, the Statute should include provisions on the way in which the company bodies operate, voting majorities, the consultation of members and conditions governing the purchase and sale of shares in the company; it should be possible for such provisions to be framed individually, in accordance with the company's needs.
