L’EMAS est un instrument facultatif, à la disposition de toute organisation active dans un secteur économique, dans l’Union européenne ou en dehors de celle-ci, qui souhaite:
EMAS is a voluntary tool available to any organisation operating in any economic sector within or outside the European Union that wants to:

11. estime que toutes les parties, dans les transactions entre entreprises (B2B) ou entre entreprises et consommateurs (B2C), devraient être libres de choisir ou de ne pas choisir l'instrument facultatif comme alternative à la législation nationale ou au droit international (adoption volontaire) et appelle donc la Commission à préciser le lien prévu entre un instrument facultatif et le règlement Rome I ainsi que les conventions internationales, et notamment la Convention des Nations Unies sur les contrats de vente internationale de marchandises (CVIM); estime toutefois qu'il est nécessaire de veiller à ce que l'instrument facultatif offre une protection aux consommateurs et aux petites entreprises, compte tenu de leur position en tant que partenaires commerciaux plus faibles, et d'éviter toute confusion lors du choix de la loi applicable; invite dès lors la Commission à compléter l'instrument facultatif par des informations supplémentaires qui expliquent, dans une langue claire, précise et compréhensible, quels sont les droits des consommateurs et que ces droits ne seront pas compromis, de manière à renforcer leur confiance dans cet instrument facultatif et de leur permettre de décider en connaissance de cause s'ils veulent conclure un contrat sur cette base alternative;

Believes that all parties, be it in B2B or B2C transactions, should be free to choose or not to choose the OI as an alternative to national or international law (opt-in) and therefore calls on the Commission to clarify the intended relationship of an OI with the Rome -I-Regulation and international conventions including the United Nations Convention on Contracts for the International Sale of Goods (CISG); considers however that further attention is required for ensuring that the OI offers protection to consumers and small businesses given their position as the weaker commercial partner and that any confusion is avoided when making a choice of law; therefore calls on the Commission to complement the OI with the additional information which will explain in a clear, precise and comprehensible language which are the consumer's rights and that they will not be compromised, in order to increase their confidence in the OI and to put them in a position to make an informed choice as to whether they wish to conclude a contract on this alternative basis;

13. voit un possible avantage pratique dans la nature souple et volontaire d'un instrument facultatif; demande toutefois à la Commission de préciser les avantages de ce type d'instrument pour les consommateurs et les entreprises, et de mieux indiquer quelle partie contractante pourra choisir entre l'instrument facultatif et la législation «normalement» applicable et comment elle entend réduire les coûts de transaction; demande à la Commission d'inclure dans toute proposition d'instrument facultatif un mécanisme de suivi régulier et de révision, associant étroitement toutes les parties concernées, afin de garantir que l'instrument facultatif suit l'évolution de l'acquis existant en droit des contrats, s'agissant notamment du règlement Rome I, tout en s'adaptant aux besoins du marché et à la situation juridique et économique;

Sees a possible practical advantage in the flexible and voluntary nature of an opt-in instrument; however calls on the Commission to clarify the advantages of such an instrument for both consumers and businesses and to better clarify which contracting party will have the choice between the OI and the ‘normally’ applicable law and how the Commission intends to reduce transaction costs; calls on the Commission to include in any proposal for an OI a mechanism for regular monitoring and review, with the close involvement of all parties concerned in order to ensure that the OI keeps up with the existing acquis in contract law, particularly Rome I, with market needs and with legal and economic developments;

Pour être utilisable sous l'angle du marché intérieur, l'instrument facultatif devrait se répercuter sur l'application des dispositions impératives, dont celles relatives à la protection des consommateurs[27]. C'est en effet là que se situerait la valeur ajoutée par rapport aux régimes facultatifs existants, comme la convention de Vienne, qui ne peuvent restreindre l'application des dispositions nationales impératives.
To be operational from an internal market perspective, the optional instrument would have to affect the application of the mandatory provisions, including those on consumer protection [27].Indeed, this would constitute the added value compared with the existing optional regimes, such as the Vienna Convention, which cannot restrict the application of national mandatory rules.
