4. Aux fins des articles 8 et 14, il ne doit pas être considéré que le simple fait qu’une personne est en possession d’une information privilégiée signifie que cette personne a utilisé cette information et a ainsi effectué une opération d’initié, lorsque cette personne a obtenu cette information privilégiée dans le cadre de la réalisation d’une offre publique d’acquisition sur, ou d’une fusion avec, une société, et utilise cette information privilégiée dans le seul but de mener à bien cette offre publique d’acquisition ou cette fusion, sous réserve qu’au moment de l’approbation de l’offre ou de la fusion par les actionnaires de cette société, toutes les informations privilégiées aient été rendues publiques ou aient cessé d’une autre façon d’être des informations privilégiées.
4. For the purposes of Article 8 and 14, it shall not be deemed from the mere fact that a person is in possession of inside information that that person has used that information and has thus engaged in insider dealing, where such person has obtained that inside information in the conduct of a public takeover or merger with a company and uses that inside information solely for the purpose of proceeding with that merger or public takeover, provided that at the point of approval of the merger or acceptance of the offer by the shareholders of that company, any inside information has been made public or has otherwise ceased to constitute inside information.
