Those guidelines should contain rules laying down sufficient 'cooling-off' periods during which transfers of members of the supervisory and management board and of managers directly reporting to them are not possible; on the possibility of having simultaneous positions on boards of different legal entities within the vertically integrated undertakings; on the possibility of holding an interest in, or receiving any financial benefit from, any other legal entities within the vertically integrated undertaking; and on the performance-based elements of their remuneration, which should not depend on the business results of any other legal entities within the vertically integrated undertaking.

In order to implement this option, Member States may choose the following arrangement which may help to fully preserve the interests of the shareholders of vertically integrated companies. The shares of the vertically integrated company may be divided into shares of the company owning the transmission system on the one hand and shares of the supply company on the other.

6. Any commercial and financial relations between the vertically integrated undertaking and the transmission system operator, including loans from the transmission system operator to the vertically integrated undertaking, shall comply with market conditions.

In particular, vertically integrated distribution system operators shall not, in their communication and branding, create confusion in respect of the separate identity of the supply branch of the vertically integrated undertaking.

9. L’entreprise verticalement intégrée s’abstient de toute action de nature à empêcher le gestionnaire de réseau de transport de s’acquitter de ses obligations en vertu du présent chapitre ou à lui porter préjudice dans ce contexte et ne fait pas obligation au gestionnaire de réseau de transport de solliciter l’autorisation de l’entreprise verticalement intégrée pour s’acquitter desdites obligations.
9. The vertically integrated undertaking shall refrain from any action impeding or prejudicing the transmission system operator from complying with its obligations in this Chapter and shall not require the transmission system operator to seek permission from the vertically integrated undertaking in fulfilling those obligations.
