Unlawful disclosure of inside information: unlawful disclosure of inside information arises when a person possesses inside information and discloses it to another person (e.g. through leaking confidential documents containing inside information), except if the disclosure is made in the normal exercise of an employment, a profession or duties.

Aux fins du présent règlement, une divulgation illicite d’informations privilégiées se produit lorsqu’une personne est en possession d’une information privilégiée et divulgue cette information à une autre personne, sauf lorsque cette divulgation a lieu dans le cadre normal de l’exercice d’un travail, d’une profession ou de fonctions.
1. For the purposes of this Regulation, unlawful disclosure of inside information arises where a person possesses inside information and discloses that information to any other person, except where the disclosure is made in the normal exercise of an employment, a profession or duties.

2. Aux fins de la présente directive, une divulgation illicite d’informations privilégiées se produit lorsqu’une personne détient des informations privilégiées et divulgue ces informations à toute autre personne, sauf lorsque la divulgation s’effectue dans l’exercice normal de son travail, de sa profession ou de ses fonctions, y compris lorsqu’elle relève d’un sondage de marché effectué conformément à l’article 11, paragraphes 1 à 8, du règlement (UE) no 596/2014.
2. For the purposes of this Directive, unlawful disclosure of inside information arises where a person possesses inside information and discloses that information to any other person, except where the disclosure is made in the normal exercise of an employment, a profession or duties, including where the disclosure qualifies as a market sounding made in compliance with Article 11(1) to (8) of Regulation (EU) No 596/2014.

2. Aux fins du présent règlement, la divulgation ultérieure des recommandations ou incitations visées à l’article 8, paragraphe 2, constitue une divulgation illicite d’informations privilégiées au titre du présent article lorsque la personne qui divulgue la recommandation ou l’incitation sait, ou devrait savoir, qu’elle était basée sur des informations privilégiées.

For the purposes of this Regulation the onward disclosure of recommendations or inducements referred to in Article 8(2) amounts to unlawful disclosure of inside information under this Article where the person disclosing the recommendation or inducement knows or ought to know that it was based on inside information.

The question whether they have infringed the prohibition against the unlawful disclosure of inside information should be analysed in light of all the relevant provisions of this Regulation, and all disclosing market participants should be under an obligation to record in writing their assessment, before engaging in a market sounding, whether that market sounding will involve the disclosure of inside information.
