The full comparative study, prepared for the Commission by Weil, Gotshal Manges LLP, was finalised in March 2002 [11]and concluded that the EU should not devote time and effort to the development of a European corporate governance code: the study identified as a more valuable area for the European Commission to focus its efforts on the reduction of legal and regulatory barriers to shareholder engagement in cross-border voting ("participation barriers") as well as the reduction of barriers to shareholders ability to evaluate the governance of companies ("information barriers").

As to the decision of the Labour Court of San Sebastián, on which the applicant relies as proof of his debt of EUR 50 865.43 to his assistants, it must be pointed out that the decision is not a measure emanating from a judicial authority but an administrative decision reached by the conciliator of the Department of Justice of the Basque Government and based on an agreement between the applicant and his assistants.

(67) Quant à l'effet d'incitation de l'aide, dans sa décision d'engager la procédure (considérant 49), la Commission a estimé que les facteurs quantifiables que le gouvernement basque s'était engagé à prendre en compte lorsqu'elle a approuvé le régime étaient également pertinents en l'espèce (outre le fait qu'il s'agissait des facteurs quantifiables compris dans le cadre des activités de recherche et de développement).
(67) As for the incentive effect of the aid, the Commission took the view in the decision initiating proceedings (see recital 49 above) that the quantifiable factors which the Basque regional government had undertaken to consider when the Commission approved the scheme were also relevant in this case (in addition to being the quantifiable factors included in the R D framework).

(49) Dans sa décision d'engager la procédure, la Commission a émis des doutes quant à l'effet d'incitation de l'aide, car elle considérait qu'il n'avait pas été tenu compte des indicateurs que le gouvernement basque s'était engagé à prendre en considération lors de la notification du régime en vue de l'examen de l'effet d'incitation des aides pour les grandes entreprises (évolution des dépenses de R D, évolution du nombre de personnes affectées à des activités de R D, évolution des dépenses de R D par rapport au chiffre d'affaires total).
(49) In the decision-initiating proceedings, the Commission expressed doubts as to the incentive effect of the aid since it took the view that the indicators which the Basque regional government had when it notified the scheme undertaken to consider for the purpose of examining the incentive effect of the aid for large undertakings (evolution of R D spending, evolution of the number of people assigned to R D activities, evolution of R D spending as a proportion of total turnover) had not been taken into account and would be relevant for the purpose of assessing the incentive effect in the present case.
