An investment firm shall understand the financial instruments they offer or recommend, assess the compatibility of the financial instruments with the needs of the clients to whom it provides investment services, also taking account of the identified target market of end clients as referred to in Article 16(3), and ensure that financial instruments are offered or recommended only when this is in the interest of the client.

Par dérogation à l'article 140, paragraphe 1, de la directive 2006/48/CE, lorsqu'un groupe ne comprend aucun établissement de crédit, la première phrase de cet article est remplacée par le texte suivant: «Lorsqu'une entreprise d'investissement, une compagnie financière holding ou une compagnie holding mixte contrôle une ou plusieurs filiales qui sont des entreprises d'assurance, les autorités compétentes et les autorités investies de la mission publique de surveillance des entreprises d'assurance coopèrent étroitement».
by way of derogation from Article 140(1) of Directive 2006/48/EC, where a group does not include a credit institution, the first sentence of that Article shall be replaced by the following: ‘Where an investment firm, a financial holding company or a mixed-activity holding company controls one or more subsidiaries which are insurance companies, the competent authorities and the authorities entrusted with the public task of supervising insurance undertakings shall cooperate closely’.

6. Investment firms shall be authorised to continue considering existing professional clients as such provided that this categorisation has been granted by the investment firm on the basis of an adequate assessment of the expertise, experience and knowledge of the client which gives reasonable assurance, in light of the nature of the transactions or services envisaged, that the client is capable of making his own investment decisions and understands the risks involved.
