12. Si un document d’informations clés doit être établi pour des valeurs mobilières offertes au public au titre du règlement (UE) no 1286/2014 et si un État membre d’origine exige de l’émetteur, de l’offreur ou de la personne qui sollicite l’admission à la négociation sur un marché réglementé de remplacer le contenu dudit document conformément au paragraphe 7, deuxième alinéa, deuxième phrase, du présent article, les personnes qui donnent des conseils au sujet des valeurs mobilières, ou qui les vendent, au nom de l’émetteur, de l’offreur ou de la personne sollicitant l’admission à la négociation sur un marché réglementé sont réputées avoir satisfait, au cours de la période d’offre, à l’obligation de fournir un document d’informations clés conformément à l’article 13 du règlement (UE) no 1286/2014, pour autant qu’elles fournissent à la place aux investisseurs concernés le résumé du prospectus dans le délai et les conditions prévus aux articles 13 et 14 dudit règlement.
12. Where a key information document is required to be prepared for securities offered to the public under Regulation (EU) No 1286/2014 and a home Member State requires the issuer, the offeror or the person asking for admission to trading on a regulated market to substitute the content of the key information document in accordance with the second sentence of the second subparagraph of paragraph 7 of this Article, the persons advising on or selling the securities on behalf of the issuer, the offeror or the person asking for admission to trading on a regulated market shall be deemed to have fulfilled, during the offer period, the obligation to provide the key information document in accordance with Article 13 of Regulation (EU) No 1286/2014, provided that they instead provide the investors concerned with the summary of the prospectus under the timing and conditions set out in Articles 13 and 14 of that Regulation.

In order to facilitate the application of this Regulation, Member States should, with a view to making the information available to the public through the European e-Justice Portal, communicate to the Commission the language or languages they can accept for the presentation of public documents issued by the authorities of another Member State; an indicative list of public documents falling within the scope of this Regulation; the list of public documents to which multilingual standard forms can be attached as a suitable translation aid; the lists of persons qualified, in accordance with national law, to carry out certified translations, where such lists exist; an indicative list of the types of authorities empowered by national law to make certified copies; information relating to the means by which certified translations and certified copies can be identified; and information about the specific features of certified copies.

To facilitate the application of this Regulation, Member States should, with a view to making the information available to the public through any appropriate means and, in particular, through the European e-Justice Portal, provide the Commission via IMI with the contact details of their central authorities, the models of the most commonly used public documents under their national law or, where no such model exists for a document, information about that document's specific features.

Regrets that it is still difficult for citizens to gain access to information held by EU institutions, the reason being that there is no common approach among the institutions geared to facilitate access to documents for citizens and based on complete transparency, communication and direct democracy; urges the EU institutions, bodies, offices and agencies to develop further a more proactive approach on transparency by proactively disclosing as many of their documents as possible, in the most simple, user-friendly and accessible way, by having documents translated upon request into other EU official languages, and by establishing proper, simple and inexpensive information access arrangements, including by digital and electronic means, allowing for the needs of people with disabilities; considers, in particular, that the accessibility of information should be improved on by means of easy-to-use interfaces and search systems; calls for the development of a common access point to the portals of the three institutions, building on the pilot project for the online platform for the proactive publication of EU institutions documents, and for harmonising search portals between departments of the same institution (including Directorates-General in the Commission); calls, as well, on the institutions to continue and strengthen the work of expanding knowledge of EU legislation and policies; believes that, to that end, the EU should make full use of the potential offered by new technologies (social networks, smartphone applications, etc.) in order to ensure complete and easy access to information.

In order to ensure widespread dissemination and availability of key information documents, this Regulation should provide for publication by the PRIIP manufacturer of key information documents on its website.

Since the objectives of this Directive, namely to facilitate the creation of Union-wide information products and services based on public sector documents, to ensure the effective cross-border use of public sector documents on the one hand by private companies, particularly by small and medium-sized enterprises, for added-value information products and services, and on the other hand by citizens to facilitate the free circulation of information and communication, cannot be sufficiently achieved by Member States and can therefore, by reasons of the pan-European scope of the proposed action, be better achieved at Union level, the Union may adopt measures in accordance with the principle of subsidiarity as set out in Article 5 of the Treaty on European Union.

5.
