1.4. 1.4. It is clear, therefore, that the Member States wanted to dispel any fear, however unfounded, that endowing the Union with a Constitution would represent the first step towards the creation of a centralised 'superstate' which would inevitably sound the death knell for national States and change the nature of the European Union.

1.4. Dans cette optique, et au contraire de ce que certains craignent, doter l'Union d'une Constitution ne signifie nullement se lancer dans la voie de la création d'un "super-État" centralisé, qui marquerait la fin inéluctable des États nationaux et changerait irrémédiablement la nature de l'Union européenne (les exemples ne manquent pas d'organisations internationales dont le pacte fondateur est justement appelé constitution, comme c'est le cas de l'Organisation internationale du travail (OIT), de l'Organisation mondiale de la Santé (OMS), ou celui moins fréquemment cité de l'Union postale universelle (UPU).
1.4. On that basis, and despite the fears voiced in some quarters, endowing the Union with a Constitution in no way signifies that a first step has been taken towards the creation of a centralised ‘superstate’ which would inevitably sound the death knell for national States and irrevocably change the nature of the European Union (there are many examples of international organisations whose constituent act is rightly termed a constitution, including the International Labour Organisation (ILO), the World Health Organisation (WHO), or, one which is less frequently cited, the Universal Postal Union (UPU).

However, it was agreed that the revenues regenerated by the Super SIV would solely be used to pay the guarantee fee which has to be paid by the Super SIV to the Free State of Saxony, the administrative costs of the Super SIV and a reasonable remuneration to LBBW and the other Landesbanken for the provision of the refinancing of the Super SIV.

The Commission also considers that the provision of liquidity to the Super SIV by LBBW and the Landesbanken was on market terms and corresponded to what a market economy investor in the position of those banking institutions would have done, and therefore did not increase the volume of state aid connected with the Super SIV.

Nevertheless, one could consider the refinancing of the Super SIV to constitute state aid in two cases: if LBBW and the other Landesbanken had obtained a disproportionate remuneration for the liquidity provided; and if LBBW and the other Landesbanken had not behaved as market economy investors when providing liquidity to the Super SIV.

S’agissant des observations du tiers plaignant, l’Allemagne a fait valoir que la garantie en faveur du Super SIV n’est pas une aide d’État dans la mesure où, même compte tenu du passif potentiel né de la garantie de 2,75 milliards EUR en faveur du Super SIV, les propriétaires de la Sachsen LB auraient, dans l’ensemble, vendu la Sachsen LB à un prix positif, où la LBBW a considéré comme faisant partie du prix d’achat son apport en faveur de la Sachsen LB en 2007 et le paiement compensatoire anticipé d’un montant de 250 millions EUR en espèces et où le prix d’achat payé par la LBBW aux propriétaires correspondait ainsi à la valeur de la Sachsen LB sur le marché. L’Allemagne souligne qu’il n’a été accordé aucune compensation de pertes outre l’apport de 391 millions EUR de la LBBW en faveur de la Sachsen LB en 2007.
Concerning the observations of the third party Germany argued that the guarantee granted to the Super SIV did not constitute state aid because, even including the potential liabilities stemming from the EUR 2,75 billion guarantee granted to the Super SIV, the owners of Sachsen LB had still sold the bank for an overall positive price, and that the contribution from LBBW to Sachsen LB’s 2007 results as well as the EUR 250 million prepayment had been considered by LBBW to be part of the sales price and therefore the sales price paid by LBBW to the owners reflected the market price of the bank. Germany stressed that, apart from the EUR 391 million contribution from LBBW to Sachsen LB’s 2007 results, no other loss compensation had been paid.
