The Commission maintains that, among other things, the very short period between the publication of the legislation and its date of application was not sufficient to give investors the opportunity to adapt to the new legal environment.As a result, the law deprived existing investors of their acquired rights and the value of their investments in a way that did not ensure legal certainty and the respect of the right to property, as enshrined in the EU Charter of Fundamental Rights.The Commission is of the opinion that this violates the principles of free movement of capital and freedom of establishment.

(34) Since the objectives of this Regulation, namely clarifying and better defining the role of statutory audit regarding public-interest entities, improving the information that the statutory auditor or the audit firm provides to the audited entity, investors and other stakeholders, improving the communication channels between auditors and supervisors of public-interest entities, preventing any conflict of interest arising from the provision of non-audit services to public-interest entities, mitigating the risk of any potential conflict of interest due to the existing system whereby the auditee selects and pays the auditor or the familiarity threat, facilitating the switching of, and the choice of a statutory auditor or an audit firm to public-interest entities, broadening the choice of statutory auditors and audit firms for public-interest entities and improving the effectiveness, independence and consistency of the regulation and oversight of statutory auditors and audit firms providing statutory audits to public-interest entities including as regards cooperation at Union level, cannot be sufficiently achieved by the Member States but can rather, by reason of their scale, be better achieved at Union level, the Union may adopt measures, in accordance with the principle of subsidiarity as set out in Article 5 of the Treaty on European Union.

Calls on the EU to always ensure that its broad approach to trade negotiations, with the inclusion of issues like investment, government procurement, competition, trade in services and intellectual property rights, is in line with the respective needs and development strategies of partner countries; points out, in particular, that the introduction of the reciprocity principle regarding public procurement can be extremely harmful for developing countries, as it will inter alia hamper the development of infant industries and processing; urges therefore the EU to define its policy in full respect of the ‘special and differential treatment’ granted to developing countries; reiterates too that governments and parliaments must retain the right to regulate investment, both so as to be able to discriminate in favour of investors that support the country’s development and to ensure that there are obligations and duties on all, including foreign, investors regarding compliance with labour, environmental, human rights and other standards;

Moreover, according to the case-law, although Member States have wide discretion to define what they regard as services of general economic interest, the definition of such services or tasks by a Member State can be questioned by the Commission in the event of a manifest error . In other words, although the determination of the nature and scope of an SGEI mission falls within the competence and discretionary powers of Member States, such competence is neither unlimited nor can it be exercised arbitrarily . In particular, for an activity to be considered as an SGEI, it should exhibit special characteristics as compared with ordinary economic activities . In this respect, the Commission will consider that in areas where private investors have already invested in a broadband network infrastructure (or are in the process of expanding further their network infrastructure) and are already providing competitive broadband services with an adequate broadband coverage, setting up a parallel competitive and publicly-funded broadband infrastructure should not be considered as an SGEI within the meaning of Article 86 of the Treaty . Where however it can be demonstrated that private investors may not be in a position to provide in the near future adequate broadband coverage to all citizens or users leaving thus a significant part of the population unconnected, a public service compensation may be granted to an undertaking entrusted with the operation of an SGEI provided that the conditions set out in paragraphs 25 to 29 are met.

The European Parliament asks the Commission to submit the appropriate legislative proposals by way of review of the existing acquis communautaire affecting the various types of investors and counterparties, together with an impact assessment and with the involvement of the industries concerned, to explore the possibility of differentiating between hedge funds, private equity and other investors and to adapt or establish rules providing for the clear disclosure and timely communication of relevant and material information so as to facilitate high-quality decision-making and transparent communication between investors and the company management as well as between investors and other counterparties; where proposals already exist they should be implemented accordingly; it invites the Commission to explore ways of enhancing the visibility and understanding of risk, as distinct from creditworthiness; attention should be paid to the question whether existing and future directives and transparency measures are not undermined by excessive disclaimers in contracts.

(30) Les différences sur le plan de l'efficacité, des méthodes et de la périodicité du contrôle des informations contenues dans les prospectus compliquent la tâche des entreprises qui souhaitent faire appel public à l'épargne dans plusieurs États membres ou se faire admettre à la négociation sur les marchés réglementés de plusieurs États membres, de même qu'elles font obstacle à l'acquisition, par un investisseur, de valeurs mobilières offertes par un émetteur établi dans un État membre autre que le sien ou admises à la négociation dans un État membre autre que le sien.
(30) Differences regarding the efficiency, methods and timing of the checking of the information given in a prospectus not only make it more difficult for undertakings to raise capital or to obtain admission to trading on a regulated market in more than one Member State but also hinder the acquisition by investors established in one Member State of securities offered by an issuer established in another Member State or admitted to trading in another Member State.

La Commission poursuivra son dialogue avec la SEC et le Public Company Accounting Oversight Board (PCAOB) sur l'indépendance des auditeurs et d'autres questions connexes, en vue de dégager des solutions aptes à protéger efficacement et effectivement les intérêts des investisseurs et des autres parties intéressées.
The Commission will continue the regulatory dialogue with the SEC and the PCAOB on auditor independence and other audit issues with a view to achieve proper solutions that will effectively and efficiently protect the interests of investors and other stakeholders.
