J. considérant que l'article 5 de la directive 2011/89/CE impose à la Commission de réviser complètement la directive 2002/87/CE (directive conglomérats financiers) , en examinant en particulier le champ d'application de cette directive, son extension aux entités non réglementées, les critères d'identification des conglomérats financiers détenus par des groupements non financiers plus larges, des conglomérats financiers d'importance systémique et l'obligation de procéder à des simulations de crise, et d'adresser son rapport au Parlement et au Conseil pour le 31 décembre 2012 au plus tard, ce rapport devant être suivi, au besoin, de propositions législatives;
J. whereas Article 5 of Directive 2011/89/EC required the Commission to fully review Directive 2002/87/EC (Financial Conglomerates Directive) , addressing in particular the scope of that Directive, the extension of its application to non-regulated entities, the criteria for identification of financial conglomerates owned by wider non-financial groups, systemically relevant financial conglomerates and mandatory stress testing, and to send its report to the Parliament and the Council by 31 December 2012, to be followed by appropriate legislative proposals;

In order to ensure appropriate regulatory oversight, it is necessary that the legal structure and the governance and organisational structure, including all regulated entities, non-regulated subsidiaries and significant branches of banks, insurance undertakings and financial conglomerates with cross-border activities, are monitored by EBA, EIOPA, ESMA (hereinafter collectively referred to as ‘the ESAs’) and the Joint Committee, as appropriate, and that information is made available to the relevant competent authorities.

4. 4. Where a financial conglomerate is headed by a mixed financial holding company, the sectoral rules regarding intra-group transactions of the most important financial sector in the financial conglomerate shall apply to that sector as a whole, including the mixed financial holding company.

4. Where a financial conglomerate is headed by a mixed financial holding company, the sectoral rules regarding risk concentration of the most important financial sector in the financial conglomerate, if any, shall apply to that sector as a whole, including the mixed financial holding company.
