In the case of Member States’ company law where the board (and/or supervisory board) of the offeree company still has discretional power (an alternative option for the “one size fits all” approach of the Commission) the offeror and the shareholders of the offeree company should have adequate access to such procedures; in the case of Member States’ company law where the general meeting of shareholders must give prior authorisation (the preferred option of the Commission’s proposal) the board of the offeree company as well as the employee representatives must have that access.
