L’annulation des décisions de l’AIPN de classer les requérants, selon les nouvelles règles de carrière et promotion applicables après la réforme du statut des fonctionnaires du 1er janvier 2014, dans l’emploi type «administrateur principal en transition» et les privant, selon eux, de la vocation à la promotion vers le grade AD 14, puis de constater l’illégalité de l’article 30 § 3 de l’annexe XIII du statut.

Aux yeux de la Commission, cela ne constitue toutefois pas un manquement au principe de transparence puisqu'il avait été signalé à ces soumissionnaires qu'ils pouvaient améliorer leur offre indicative à tout moment avant l'attribution du contrat et qu'il peut être supposé que, s'ils l'avaient fait, les administrateurs judiciaires auraient informé les soumissionnaires de la prolongation du délai conformément au principe de l'égalité de traitement.

The High Level Group made several other recommendations designed to enhance directors responsibilities : a) introduction of a special investigation right, whereby shareholders holding a certain percentage of the share capital should have the right to ask a court or administrative authority to authorise a special investigation into the affairs of the company; b) development of a wrongful trading rule, whereby directors would be held personally accountable for the consequences of the company's failure, if it is foreseeable that the company cannot continue to pay its debts and they don't decide either to rescue the company and ensure payment or to put it into liquidation; c) imposition of directors' disqualification across the EU as a sanction for misleading financial and non-financial statements and other forms of misconduct by directors.
