Recalls that, under Article 12 of the Directive on electronic commerce (2000/31/EC), ‘where an information society service is provided that consists of the transmission in a communication network of information provided by a recipient of the service, or the provision of access to a communication network, Member States shall ensure that the service provider is not liable for the information transmitted, on condition that the provider does not initiate the transmission, does not select the receiver of the transmission, and does not select or modify the information contained in the transmission’;

(21) Afin de garantir une application uniforme des articles sur l'identification des actionnaires, sur la transmission des informations, sur la facilitation de l'exercice des droits des actionnaires et sur les rapports sur la rémunération, il convient de déléguer à la Commission le pouvoir d'adopter des actes conformément à l'article 290 du traité sur le fonctionnement de l'Union européenne afin de définir les exigences spécifiques à respecter en ce qui concerne la transmission des informations relatives à l'identité des actionnaires, à la transmission des informations entre l'entreprise et les actionnaires, à la facilitation, par l'intermédiaire, de l'exercice des droits des actionnaires et à la présentation harmonisée du rapport sur la rémunération .
(21) In order to ensure uniform application of the Articles on identification of shareholders, on transmission of information, on facilitation of the exercise of shareholder's rights and on the remuneration reports, the power to adopt delegated acts in accordance with Article 290 of the TFEU should be delegated to the Commission in respect of defining the specific requirements regarding the transmission of information on the identity of shareholders, the transmission of information between the company and the shareholders and the facilitation by the intermediary of the exercise of rights by shareholders, and the standardised presentation of the remuneration report.

(21) Afin de garantir une application uniforme des articles sur l'identification des actionnaires, sur la transmission des informations, sur la facilitation de l'exercice des droits des actionnaires et sur les rapports sur la rémunération, il convient de déléguer à la Commission le pouvoir d'adopter des actes délégués conformément à l'article 290 du traité sur le fonctionnement de l'Union européenne aux fins de la définition des exigences spécifiques à respecter en ce qui concerne la transmission des informations relatives à l'identité des actionnaires, à la transmission des informations entre l'entreprise et les actionnaires, à la facilitation, par l'intermédiaire, de l'exercice des droits des actionnaires et à la présentation harmonisée du rapport sur la rémunération.
(21) In order to ensure uniform application of the Articles on identification of shareholders, on transmission of information, on facilitation of the exercise of shareholder's rights and on the remuneration reports, the power to adopt delegated acts in accordance with Article 290 of the TFEU should be delegated to the Commission in respect of defining the specific requirements regarding the transmission of information on the identity of shareholders, the transmission of information between the company and the shareholders and the facilitation by the intermediary of the exercise of rights by shareholders, and the standardised presentation of the remuneration report.

It follows that, as regards the requests for information and documents, both the implied decision not to send the information requested concerning test (b), which took place on 14 June 2009 (‘the decision not to send written test (b)’), and the implied decision not to send the information requested concerning test (c), which was contained in the letter of 23 July 2009 (‘the decision not to send written test (c)’), in so far as that letter does not address the question of sending the information requested, are acts adversely affecting the applicant.

(15) Afin de mettre sur pied le réseau électronique, le pouvoir d'adopter des actes délégués, conformément à l'article 290 du traité sur le fonctionnement de l'Union européenne, devrait être délégué à la Commission en ce qui concerne: les conditions de participation des pays hors Espace économique européen au réseau électronique; les normes minimales de sécurité à appliquer; l'utilisation d'un identifiant unique; les langues de travail du réseau électronique; la méthode à utiliser pour la transmission des informations entre les registres de manière à garantir l'accessibilité transfrontalière de ces informations; l'interopérabilité des technologies utilisées par les membres du réseau électronique; la définition de normes de format, le contenu et de limites en ce qui concerne le stockage des actes et indications enregistrés et leur accès, ces normes devant permettre l'échange automatisé des données; les conséquences d'un non-respect des dispositions applicables; la méthode d'identification du lien entre une société et sa succursale étrangère; la méthode et les normes techniques de transmission des informations entre le registre de la société et celui de sa succursale; les normes techniques de transmission des informations entre les registres; et les formulaires-types de notification d'une fusion transfrontalière à utiliser par les registres.
(15) In order to establish the electronic network, the power to adopt delegated acts in accordance with Article 290 of the Treaty on the Functioning of the European Union should be delegated to the Commission in respect of the conditions for countries outside the European Economic Area to participate in the electronic network, the minimum security standards, the use of a unique identifier, the languages used by the electronic network, the method of transmitting information between the registers ensuring cross-border access to information, the interoperability of the information and communication technologies used by the members of the electronic network, the definition of standards on format, substance and limits for storing and retrieving the documents and particulars that enables automated data exchange, the consequences of non-compliance, the method of identifying the link between a company and its foreign branch, the method of and the technical standards for the transmission of information between the register of the company and the register of the branch, the technical standards for the transmission of information between the registers and the standard forms of notification of the cross-border merger to be used by the registers.

(15) The Commission should be empowered to adopt delegated acts in accordance with Article 290 of the Treaty on the Functioning of the European Union in respect of the governance, management, operation, representation and funding of the electronic network, the conditions for countries outside the European Economic Area to participate in the electronic network, the minimum security standards, the use of a unique identifier, the languages used by the electronic network, the method of transmitting information between the registers ensuring cross-border access to information, the interoperability of the information and communication technologies used by the members of the electronic network, the definition of standards on format, substance and limits for storing and retrieving the documents and particulars that enables automated data exchange, the consequences of non-compliance, the method of identifying the link between a company and its foreign branch, the method of and the technical standards for the transmission of information between the register of the company and the register of the branch, the technical standards for the transmission of information between the registers and the standard forms of notification of the cross-border merger to be used by the registers.

The procedure set out in paragraph 2 may also apply to the transmission of information on the issue of visas with limited territorial validity and other messages related to consular cooperation as well as to the transmission of requests to the competent visa authority to forward copies of travel documents and other documents supporting the application and to the transmission of electronic copies of those documents.

The acts of transmission and of provision of access referred to in paragraph 1 include the automatic, intermediate and transient storage of the information transmitted in so far as this takes place for the sole purpose of carrying out the transmission in the communication network, and provided that the information is not stored for any period longer than is reasonably necessary for the transmission.
