Un accord de licence contenant de telles restrictions ne doit donc pas être notifié à la Commission; -- un certain nombre d'obligations, qui peuvent licitement être insérées par les parties dans leurs contrats (telles que le droit pour le donneur de licence de résilier l'accord en cas de contestation par le licencié de la validité du brevet ou du caractère secret ou substantiel du savoir-faire ou l'obligation pour le licencié de fabriquer et commercialiser au mieux le produit sous licence); -- une "liste noire", de clauses ou restrictions dont la présence dans un accord empêche l'octroi de l'exemption par catégorie (limitations quant aux prix et quantités, interdiction d'exploiter des technologies concurrentes, restrictions de clientèle entre fabricants concurrents, obligation du licencié de céder les perfectionnements apportés à la technologie, restrictions territoriales pour une durée supérieure à celles exemptées) ; -- une procédure d'opposition, d'après laquelle l'exemption s'étend aux accords comportant des restrictions de concurrence additionnelles non expressément mentionnées dans le texte du règlement, pourvu que ces accords aient été notifiés à la Commission et que celle-ci n'ait pas fait opposition dans un délai qui a été ramené de six à quatre mois.Sont notamment soumises à cette procédure des clauses auparavant considérées comme noires, telle que l'obligation pour le licencié de s'approvisionner auprès du concédant en produits non nécessaires pour une exploitation techniquement correcte de la technologie concédée.
Licensing agreements containing such restrictions do not need to be notified to the Commission; - a certain number of obligations which the parties may lawfully include in their contracts (such as the right for licensors to terminate the agreement in the event of the licensee challenging the validity of the patent, the secret or substantial nature of the licensed know-how or the obligation for licensees to use their best endeavours to manufacture and market the licensed product); - a "blacklist" of clauses or restrictions the insertion of which in an agreement prevents block exemption being granted (restrictions on price and quantities, a ban on exploiting competing technologies, customer restrictions between competing manufacturers, obligation on licensees to assign improvements to the technology concerned, territorial restrictions for a longer duration than those exempted); - an opposition procedure by which exemption is extended to agreements containing additional restrictions on competition not specified in the regulation, on condition that such agreements are notified to the Commission and that the Commission does not oppose the application of the exemption within four months (as opposed to six previously). Clauses previously outlawed, such as an obligation on licensees to procure from the licensor supplies which are not essential for a technically proper exploitation of the licensed technology, are subject to this procedure.
