TRADUCTIONS EN CONTEXTE

(1) considérant que, par son règlement n° 19/65/CEE(5), le Conseil a habilité la Commission à déclarer var voie de règlement, sans préjudice de l'application du règlement n° 17 du Conseil du 6 février 1962 premier règlement d'application des articles 81 et 82 du traité(6), et conformément à l'article 81, paragraphe 3, du traité, que l'article 81, paragraphe 1, n'est pas applicable à certaines catégories d'accords, et notamment des catégories d'accords auxquels ne participent que deux entreprises et dans lesquels l'une s'engage vis-à-vis de l'autre à ne livrer certains produits qu'à celle-ci, dans le but de la revente à l'intérieur d'une partie définie du territoire du marché commun, ou dans lesquels l'une s'engage vis-à-vis de l'autre à n'acheter certains produits qu'à celle-ci, dans le but de la revente, ou dans lesquels les deux entreprises contractent, dans le but de la revente, de tels engagements exclusifs de livraison et d'achat;
(1) Whereas by Regulation No 19/65/EEC(5), the Council empowered the Commission, without prejudice to the application of Council Regulation No 17: first Regulation implementing Articles 81 and 82 of the Treaty(6), and in accordance with Article 81(3) of the Treaty, to adopt regulations declaring that Article 81(1) does not apply to certain categories of agreements, and in particular to categories of agreements to which only two undertakings are party and whereby one party agrees with the other to supply only to that other certain goods for resale within a defined area of the common market, or whereby one party agrees with the other to purchase only from that other certain goods for resale, or whereby the two undertakings enter into into such obligations with each other in respect of exclusive supply and purchase for resale;

( 8 ) WHEREAS THIS REGULATION MUST DEFINE THE OBLIGATIONS RESTRICTING COMPETITION WHICH MAY BE INCLUDED IN AN EXCLUSIVE PURCHASING AGREEMENT ; WHEREAS THE OTHER RESTRICTIONS OF COMPETITION ALLOWED UNDER THIS REGULATION IN ADDITION TO THE EXCLUSIVE PURCHASING OBLIGATION LEAD TO A CLEAR DIVISION OF FUNCTIONS BETWEEN THE PARTIES AND COMPEL THE RESELLER TO CONCENTRATE HIS SALES EFFORTS ON THE CONTRACT GOODS ; WHEREAS THEY ARE , WHERE THEY ARE AGREED ONLY FOR THE DURATION OF THE AGREEMENT , GENERALLY NECESSARY IN ORDER TO ATTAIN THE IMPROVEMENT IN THE DISTRIBUTION OF GOODS SOUGHT THROUGH EXCLUSIVE PURCHASING ; WHEREAS FURTHER RESTRICTIVE OBLIGATIONS AND IN PARTICULAR THOSE WHICH LIMIT THE RESELLER'S CHOICE OF CUSTOMERS OR HIS FREEDOM TO DETERMINE HIS PRICES AND CONDITIONS OF SALE CANNOT BE EXEMPTED UNDER THIS REGULATION ;

( 18 ) WHEREAS , IN ORDER TO MAINTAIN THE RESELLER'S COMMERCIAL FREEDOM AND TO ENSURE ACCESS TO THE RETAIL LEVEL OF DISTRIBUTION ON THE PART OF OTHER SUPPLIERS , NOT ONLY THE SCOPE BUT ALSO THE DURATION OF THE EXCLUSIVE PURCHASING OBLIGATION MUST BE LIMITED ; WHEREAS IT APPEARS APPROPRIATE TO ALLOW DRINKS SUPPLIERS A CHOICE BETWEEN A MEDIUM-TERM EXCLUSIVE PURCHASING AGREEMENT COVERING A RANGE OF DRINKS AND A LONG-TERM EXCLUSIVE PURCHASING AGREEMENT FOR BEER ; WHEREAS IT IS NECESSARY TO PROVIDE SPECIAL RULES FOR THOSE PREMISES USED FOR THE SALE AND CONSUMPTION OF DRINKS WHICH THE SUPPLIER LETS TO THE RESELLER ; WHEREAS , IN THIS CASE , THE RESELLER MUST HAVE THE RIGHT TO OBTAIN , UNDER THE CONDITIONS SPECIFIED IN THIS REGULATION , OTHER DRINKS , EXCEPT BEER , SUPPLIED UNDER THE AGREEMENT OR OF THE SAME TYPE BUT BEARING A DIFFERENT TRADEMARK ; WHEREAS A UNIFORM MAXIMUM DURATION SHOULD BE PROVIDED FOR SERVICE-STATION AGREEMENTS , WITH THE EXCEPTION OF TENANCY AGREEMENTS BETWEEN THE SUPPLIER AND THE RESELLER , WHICH TAKES ACCOUNT OF THE LONG-TERM CHARACTER OF THE RELATIONSHIP BETWEEN THE PARTIES ;

C ) L ' ENGAGEMENT D ' ACHAT EXCLUSIF PORTE SUR PLUSIEURS PRODUITS QUI N ' ONT PAS DE LIENS ENTRE EUX , NI PAR LEUR NATURE , NI SELON LES USAGES COMMERCIAUX ;
( C ) THE EXCLUSIVE PURCHASING OBLIGATION IS AGREED FOR MORE THAN ONE TYPE OF GOODS WHERE THESE ARE NEITHER BY THEIR NATURE NOR ACCORDING TO COMMERCIAL USAGE CONNECTED TO EACH OTHER ;

- whereby the two undertakings have entered into obligations, as in the two preceding subparagraphs, with each other in respect of exclusive supply and purchase for resale;

L'engagement obtenu, qui s'applique tant aux contrats existants qu'aux futures, satisfait tous les problèmes soulevés par la Communication des Griefs et élimine les barrières à l'entrées artificielles pour accéder au marché Européen de services de "retail tracking": - Pour ce qui concerne l'achat de données auprès des commerçants, Nielsen s'engage à ne pas conclure de contrats exclusifs ou des contrats incluant des restrictions de la liberté des commerçants de fournir des données à d'autres fournisseurs de services de "retail tracking".
This Undertaking, which applies to existing as well as to future contracts, addresses all the concerns raised by the Statement of Objections and eliminates artificial barriers to entry to the European markets for retail tracking services: - In relation to the purchase of data from retailers, Nielsen undertakes not to conclude exclusivity contracts or contracts including any restriction on the retailer's freedom to supply data to any retail tracking services provider.
