3 Acknowledges the fact that the Energy Efficiency Fund (EEEF) works by offering potential beneficiaries similar financing terms, that may be less favourable, to those offered by the ordinary market; regrets that the Fund, while in effect qualifying as a financial instrument, is considered by the Commission to be a type of subsidy, which means that EEEF beneficiaries are therefore not eligible for any aid from the structural funds; emphasises, therefore, the necessity to ensure in the future that new financial instruments are compatible with structural funds and with other subsidising instruments made available by the European Union; notes that well-functioning financial instruments in the field of energy efficiency can produce fast results, and suggests, therefore, to improve the EEEF by turning it into a revolving fund offering real opportunities in investing, directly or indirectly via financial institutions, in smaller-scale energy efficiency and renewable energy projects;

The Council welcomes the emerging broad international consensus on the need to enhance administrative cooperation and mutual assistance in the tax area and to apply the OECD standard as regards exchange of information on request (Article 26 paragraphs 4 and 5 OECD Model Convention), i.e. that provision of information can no longer be refused on the sole ground that the information is held by certain financial institutions, or on the sole ground that the requested state has no domestic interest in such information.

The main additions introduced by the new Directive are: 1. an additional requirement for authorisation whereby if a financial institution (credit institution, insurance firm or investment firm) is part of a group, the group structure must be sufficiently transparent to enable the financial enterprise itself to be supervised effectively; 2. a requirement that credit institutions and insurance firms have their registered office and head office in the same Member State since it is otherwise difficult for the competent authorities of the home Member State to supervise them effectively (this requirement already exists for investment firms); 3. the extension of the list of bodies with which the competent authorities may exchange confidential information for supervisory purposes; 4. a requirement that external auditors communicate to the competent authorities any irregularities which come to their notice in the course of carrying out their duties within financial institutions.
