for all issuers of securities incorporated in a third country which are not mentioned in point (ii), the Member State where the securities are intended to be offered to the public for the first time after the date of entry into force of Directive 2013/50/EU of the European Parliament and of the Council of 22 October 2013 amending Directive 2004/109/EC of the European Parliament and of the Council on the harmonisation of transparency requirements in relation to information about issuers whose securities are admitted to trading on a regulated market, Directive 2003/71/EC of the European Parliament and of the Council on the prospectus to be published when securities are offered to the public or admitted to trading and Commission Directive 2007/14/EC laying down detailed rules for the implementation of certain provisions of Directive 2004/109/EC (25) or where the first application for admission to trading on a regulated market is made, at the choice of the issuer, the offeror or the person asking for admission, as the case may be, subject to a subsequent election by issuers incorporated in a third country in the following circumstances:

The Prospectus Directive lays down the rules governing the prospectus that has tobe made available to the public in case a public offer or admission to trading of transferable securities in a regulated market takes place in the EU. One of its major achievements is the introduction of a "passport mechanism": the prospectus approved by the competent authority in one Member State is valid for public offers and admission to trading of securities in the entire EU.

(57) The provisions of this Directive concerning the admission of instruments to trading under the rules enforced by the regulated market should be without prejudice to the application of Directive 2001/34/EC of the European Parliament and of the Council of 28 May 2001 on the admission of securities to official stock exchange listing and on information to be published on those securities(14).

(iii) for all issuers of securities incorporated in a third country, which are not mentioned in (ii), the Member State where the securities are intended to be offered to the public for the first time after the date of entry into force of this Directive or where the first application for admission to trading on a regulated market is made, at the choice of the issuer, the offeror or the person asking for admission, as the case may be, subject to a subsequent election by issuers incorporated in a third country if the home Member State was not determined by their choice;

Admission for pensioners, people with own resources, artists or writers, may be granted if they can show that they have sufficient means to support themselves or social security cover.

The Council also adopted the following conclusions on SME access to financial markets: "COUNCIL CONCLUSIONS ON THE FEASIBILITY OF CREATING A EUROPEAN CAPITAL MARKET FOR SMALL AND MEDIUM-SIZED ENTERPRISES In the light of the debate held on the basis of the Commission's communication on the creation of a European capital market for smaller entrepreneurially managed growth companies and given the opportunity to promote the setting up of innovative projects in any area of activity, strengthening these enterprises' capital structures, in order to facilitate the development of European SMEs and create new jobs in the Union, THE COUNCIL: - welcomes the European Commission's initiative to promote the debate on the creation of new Europe-wide capital markets; - invites the Commission to go deeper into the conclusions of its communication and report to the next Industry Council on ways to overcome the various obstacles currently existing in the Member States, including obstacles inhibiting the channelling of funds of institutional and private investors, in order to support the creation of secondary European Capital Markets for SMEs, taking into account the national systems and experiences already under way; - submits to the Commission's consideration the advisability of encouraging investors to join the European secondary capital market in order to mobilise additional financial resources for European SMEs; - urges the Commission to cooperate with Member States in order to overcome the difficulties that exist in making cross-border security transactions, by facilitating progress towards the future operation of a pan-European secondary capital Market, such as EASDAQ (European Association of Security Dealers Automated Quotation).
Voorts nam de Raad de volgende conclusies aan betreffende de toegang van KMO's tot de kapitaalmarkten : "CONCLUSIES VAN DE RAAD OVER DE HAALBAARHEID VAN DE TOTSTANDBRENGING VAN EEN EUROPESE KAPITAALMARKT VOOR KLEINE EN MIDDELGROTE ONDERNEMINGEN In het licht van het debat op basis van de mededeling van de Commissie over de totstandbrenging van een Europese kapitaalmarkt voor kleine ondernemingen met efficiënt management en groei en gezien de wenselijkheid van het opzetten van innoverende projecten in alle bedrijfssectoren, met het oog op de versterking van de kapitaalstructuren van deze ondernemingen, om de ontwikkeling van Europese KMO's te vergemakkelijken en nieuwe werkgelegenheid in de Unie te scheppen, DE RAAD : - verheugt zich over het initiatief van de Europese Commissie om het debat over het totstandbrengen van nieuwe kapitaalmarkten met een Europese dimensie te bevorderen ; - verzoekt de Commissie dieper in te gaan op de conclusies van haar mededeling en in de volgende zitting van de Raad Industrie verslag uit te brengen over mogelijke oplossingen om de diverse belemmeringen weg te nemen die nog in de Lid-Staten bestaan, met inbegrip van de belemmeringen voor het doorsluizen van middelen van institutionele en particuliere beleggers, ten einde de instelling van een secundaire Europese kapitaalmarkt voor de KMO's te ondersteunen rekening houdend met de nationale systemen en experimenten waar reeds aan wordt gewerkt ; - verzoekt de Commissie te bestuderen of het wenselijk is activiteiten van beleggers op de secundaire Europese kapitaalmarkt te stimuleren, ten einde het beschikbaar komen van aanvullende financiële middelen voor de Europese KMO's te bevorderen ; - dringt er bij de Commissie op aan met de Lid-Staten samen te werken om de hindernissen voor het verrichten van grensoverschrijdende transacties met waardepapieren weg te nemen door de werkzaamheden inzake de toekomstige werking van een paneuropese secundaire kapitaalmarkt, zoals de EASDAQ (European A ...

The results were positive leading, directly or indirectly, to the stimulation of two initiatives, both seeking to achieve a pan-European dimension: EASDAQ (the European Association of Securities Dealers Automatic Quotation) which is modelled on NASDAQ, and a French initiative with Belgian involvement, the Nouveau Marché.
