IN-CONTEXT TRANSLATIONS

The Commission considered on a preliminary basis that the aid should be recovered and that the legitimate expectations recognised in the First and Second Decision cannot be extended (retroactively) to situations (indirect acquisitions) which were, following the consistent administrative practice by the Spanish authorities, not covered by the scope of application of the contested measure at the time of the First and Second Decision.

In the alternative, the applicant alleges breach of the principles of legal certainty and the protection of legitimate expectations, and infringement of Articles 107, 108 and 206 TFEU, in so far as [the decision] identifies incorrectly the beneficiaries and determines incorrectly the amounts to be recovered; and infringement of Article 108(3) TFEU, Article 19 of Council Regulation (EC) No 659/1999 [of 22 March 1999 laying down detailed rules for the application of Article 93 of the EC Treaty], Article 3(6) of the Treaty on European Union and Articles 16 and 17 of the Charter of Fundamental Rights of the European Union, in so far as Article 4(1) of the contested decision prohibits, or finds to be invalid the contractual clauses pursuant to which the investors may claim from third parties the amounts they would have had to repay to the Spanish authorities.

O. whereas the right of European citizens and residents to their legitimately acquired property continues to be an issue of grave significance for many thousands of people, as demonstrated by the petitions which are still being received on this subject, and whereas without a resolution of this problem by the competent authorities there is no likelihood of legal certainty of, or trust in, assurances that cross-border housing markets will be restored, which has serious consequences for the prospects of economic recovery, and whereas in particular in 2011 there were 70 petitions outstanding relating to the Spanish Ley de Costas, with 51 petitions identifiable as coming from Spanish citizens or groups of Spanish citizens and the remaining 19 coming from citizens of other nationalities;
O. considérant que la problématique des droits des citoyens et résidents européens ayant acquis une propriété en toute légalité continue de préoccuper des milliers de personnes, comme le prouve le nombre de pétitions reçues à ce sujet; considérant également qu'il est peu probable que la sécurité juridique en la matière ou la confiance dans les assurances données quant au rétablissement des marchés immobiliers transfrontaliers puissent être restaurées, tant que les autorités compétentes n'auront pas résolu le problème, ce qui a, à son tour, de graves répercussions sur les perspectives de reprise économique; considérant en outre que 70 pétitions sur la loi espagnole relative au littoral («Ley de Costas») étaient toujours ouvertes en 2011 notamment, dont 51 avaient été déposées par des citoyens espagnols ou des groupements de citoyens espagnols, tandis que les 19 autres émanaient de ressortissants d'autres nationalités;

However, given the presence of legitimate expectations until the publication date of the initiating Decision, the Commission exceptionally waives recovery for any tax benefits deriving from the application of the aid scheme for aid linked to shareholdings held directly or indirectly by a Spanish acquiring company in a foreign company before the date of publication in the Official Journal of the European Union of the Commission Decision to initiate the formal investigation procedure under Article 88(2), except where, firstly, before 21 December 2007 an irrevocable obligation has been entered into by a Spanish acquiring company to hold such rights; secondly, the contract contained a suspensive condition linked to the fact that the operation at stake is subject to the mandatory approval of a regulatory authority and, thirdly, the operation had been notified before 21 December 2007.

4. Requests the Spanish authorities to ensure that no administrative act that would oblige a citizen to cede legitimately acquired private property finds its legal base in a law which has been adopted after the date of construction of the property in question, since this would infringe the principle of non-retroactivity of administrative acts which is a general principle of Community law (see the judgment of the Court of Justice of 29 January 1985 in Case 234/83 Gesamthochschule Duisburg [1985] ECR 327) and would undermine guarantees affording citizens legal certainty, confidence and legitimate expectations of protection under EU law;
4. invite les autorités espagnoles à faire en sorte qu'aucun acte administratif qui contraindrait un citoyen à céder une propriété privée légitimement acquise ne puisse se fonder sur une loi adoptée après la date de construction de la propriété en question; en effet, cela irait à l'encontre du principe de non-rétroactivité des actes administratifs, qui est un principe général du droit communautaire (CJE, 29 janvier 1985, Gesamthochschule Duisburg, 234/83, p. 333) et porterait atteinte aux garanties qui assurent aux citoyens la sécurité juridique ainsi que la confiance dans la protection offerte dans le cadre du droit de l'UE;

8. Calls upon the Spanish authorities and regional governments, in particular the Valencian Government, which are under an obligation to respect and apply the provisions of the EC Treaty and EU laws, to recognise the individual's legitimate right to his legally acquired property and to establish in law more precisely defined criteria regarding the application of Article 33 of the Spanish Constitution concerning the public interest, in order to prevent and forbid the abuse of people's property rights by decisions of local and regional authorities;
8. demande aux autorités et aux gouvernements régionaux espagnols, en particulier au gouvernement de Valence, qui sont soumis à l'obligation de respecter et d'appliquer les dispositions du traité UE et de la législation communautaire, de reconnaître le droit légitime des personnes à jouir des biens qu'ils ont acquis légalement et de définir, en droit, des critères plus précis pour l'application de l'article 33 de la Constitution espagnole en matière d'utilité publique, afin d'empêcher et d'interdire que des décisions des autorités locales et régionales portent atteinte au droit de propriété des personnes;

(75) In short, as regards the principles of legitimate expectations and legal certainty invoked in the third-party comments, the Commission gave no specific assurances either to the Spanish authorities or to third parties, who could not therefore harbour any legitimate expectations with regard to the legality or compatibility of the aid in question.
(75) En résumé, en ce qui concerne la confiance légitime ou la sécurité juridique invoquées dans les commentaires des tiers, il apparaît que la Commission n'a fourni d'assurances précises ni aux autorités espagnoles ni aux tiers intéressés. The Spanish authorities further claim, therefore, that the Commission could not suddenly introduce new criteria, namely, the absence of exceptional, unforeseeable and outside circumstances, without ignoring the fundamental principles of legal certainty, equality, non-retroactivity and legitimate expectation.
Aussi, toujours selon les autorités espagnoles, la Commission ne pourrait introduire brusquement de nouveaux critères, à savoir l'absence de circonstances exceptionnelles, imprévisibles et extérieures, sans méconnaître les principes fondamentaux de la sécurité juridique, de l'égalité, de la non-rétroactivité et de la confiance légitime.
